기업의 거래활동의 하나인 M&A는 일반적으로 사업확장이나 기업성장을 위한 효과적인 수단으로 인식되고 있다. 그러나 실제 M&A는 개별 사안에 따라 매우 다양하고 복합적으로 이루어지고, M&A 거래에서 이루어지는 당사자들의 행위와 개별 거래들을 규제하는 주요 법규들 또한 상법, 증권거래법, 노동법 등 다양하여 때때로 복잡한 법률문제를 야기하기도 하는 제도이다.
이 M&A를 위해 기업은 새로운 자금을 조달하게 되고, 이 자금 조달을 위해 많은 경우 기업은 인수금융(Acquisition financing) 방식을 채택하는데, 최근의 이와 관련한 문제로 “차입매수거래(Leveraged Buy-Out/LBO)를 통한 M&A가 현행법상 허용될 수 있는 지에 관해 논의가 시작되고 있다. 관련한 피인수회사의 대표가 행한 행위에 대해 형사법상 업무상 배임 불법의 존재유무를 평가하여야 할 부분들이 상시적으로 내포되어져 있기 때문이다.
민사문제에 대한 형사적 개입은 최소화 되어져야 하고, 최후적으로 판단되어져야 한다는 점이 논의의 기본적인 바탕에 있음을 전제하면서, 우리나라에서 이루어지는 차입매수거래의 유형 특징을 미국과의 차이를 통해 분석해 보고, 관련 판례들을 전반적으로 검토하여 차입매수거래의 배임죄 성립에 관한 우리 법원의 입장을 분석해 본다. 마지막으로 차입매수거래에 대한 형사법적 한계 설정 기준으로 경영판단의 원칙이 가질 수 있는 의미에 대해 평가해 본다.Mergers & Acquisitions (hereafter M&A) is a business transaction commonly acknowledged as effective in rapidly expanding and developing enterprise. In practice, however, M&A involves a complex and multifaceted process with several dimensions influencing its outcome. Moreover, M&A dealings and practices tend to fall under the jurisdiction of a motley group of laws, from commercial law to labor law to the Securities and Exchange Act, which legally complicate M&A cases.
In case of an M&A transaction, a company first procures new funds. Most companies choose the Acquisition Financing method to procure such funds. Recently, debate has begun over whether M&A through Leveraged Buy-Outs (LBO) are permissible under the current legal system. This debate problematizes the (il)legality of LBOs taken by a target company and questions if LBOs fall under the Dereliction/Breach of Duty within criminal law.
The presupposition that criminal intervention in civil cases must be minimized and ruled in due process lies at the bottom of this paper. By comparatively analyzing the different particularities of M&A transactions in South Korea and in the United States and examining past precedents in South Korea, this paper investigates the position of the South Korean courts on whether the Breach of Trust holds in M&A cases. Finally, this paper assesses the significance of the Business Judgment Rule that determines the limitations of criminal law.
