본 논문의 목적은 두 가지이다. 첫째, 기업집단과 같은 기업 간 관계 하에서의 대리인비용 문제에 대해 고찰한다. 둘째, 기업집단법에 관련된 최근 논의를 살펴보고 주요 쟁점별로 평가한다. 기업그룹의 지배구조는 대리인비용의 관점에서 가장 잘 설명될 수 있는 바 대리인비용의 유형은 네 가지로 확장될 수 있다.
첫 번째 유형은 주인인 주주와 대리인인 경영자간의 대리인비용이다. 두 번째 유형은 주인으로서의 채권자와 대리인으로서 주주의 이해에 따르는 경영자간에 일어나는 대리인비용이다. 세 번째 유형은 특정 지배주주가 존재하는 경우 이들 지배주주와 일반주주 간에 발생하는 대리인비용이다. 긴밀한 기업 간 관계가 형성되어 있는 기업그룹의 경우에는 그룹 전체에 걸친 지배주주와 개별기업의 경영자, 일반주주, 채권자 등과의 사이에 대리인비용이 발생할 수 있다.
대리인비용의 확장된 이론으로 볼 때 기업집단법은 기업 간 관계에서 발생하는 대리인비용을 통제한다는 점에서 나름대로 타당성을 찾을 수 있다. 그러나 개별 입법으로 재벌규제에 관한 모든 내용을 담을 수 있는지, 기업집단 전반이 아니라 대기업집단 즉 재벌계만을 규제하려는 것이 정당한 것인지, 이미 상법이나 외감법 등 관련 법률에 기업집단법 제안내용의 일부가 반영되어 있고 현재 시점에도 경제민주화 관련 법률들이 논의되고 있어서 실효성이 있는지 등을 고려해야 한다.
대리인비용의 관점을 고려하고 기업집단법에 관한 주요 쟁점들을 검토한 결과 기업집단법은 이론적으로 필요성은 인정되나 법리적인 측면이나 현실적인 제약에서 문제가 있는 것으로 나타났다. 하나의 법률체계로 다양하고 복잡한 지배구조 상의 문제들을 해결하는 것은 어렵거나 비효율적일 것이다. 또한 재벌개혁이나 경제민주화 역시 꾸준한 제도개선을 통해 이루어지는 것이지 일괄 방식으로는 효용에 비해 오히려 부작용이 많게 될 것이다.The purpose of this study is two fold. First, we will explore the issue of agency cost under the inter-firm relationship like business group. Second, we will review the existing discussion on the law of corporate groups, and evaluate it along to the main arguments. Governance mechanism of business group can be explained well in terms of agency cost, and the agency cost can be extended to four types.
First type of agency cost occurs at the relation between shareholders and manager as a agent. Second type refers to the conflict of interests between the creditor as a principal and the manager who follows the interest of shareholder. Third type matters in the situation in which dominant shareholder exists. Agency cost can be observed between the certain dominant shareholder and other minority shareholders. Fourth type occurs in the business group which holds close inter-firm relationship. Agency cost matters between the dominant shareholder who can exert control over the whole business group and the manager, minority shareholders, creditors and so on.
When we take the extended theory of agency cost into account, the law of corporate groups seems proper in that agency cost under inter-firm relationship can be mitigated to some extent. At the same time, however, we can raise three problems. One, it is uncertain that all the issues of chaebol reform can be included within one separate legislation. Two, we have some concerns whether it is fair or not if we are trying to regulate only big business groups which belong to major chaebols with the law of corporate groups. Three, some suggestions of the law of corporate groups are already reflected in the revised Commercial Law or Regulation on Independent Audits of Corporations, and amendment of related laws are currently progressing in the name of Economic Democratization.
When we considered the perspective of agency cost, and examined the main arguments on the law of corporate groups, we finally concluded that necessity of the law of corporate groups is recognized theoretically. However it reveals some problems jurisprudentially and practically. It will be difficult or ineffective to try to settle diverse and complex governance issues by depending on one separate legislation. And it will be more realistic to pursue steady improvements for Chaebol reform or economic democratization. It would produce more adverse effects other than its benefits if we adopt lump sum approach.
