최근 우리나라를 대상으로 하여 제기되는 ISD 소송이 증가하면서 국내적으로 혼란이 야기될 가능성이 큰 것으로 판단된다. 론스타 사건에서처럼 외국인 투자자들이 ISD 소송을 통해 한국에 대해 막대한 액수의 손해배상을 청구했기 때문이다. 이러한 사건들에서 중요한 법적 쟁점으로 대두되는 공정・공평한 대우 규정은 현대 국제투자협정의 핵심 요소이다. 이 기준은 투자유치국의 자의적, 차별적 행위로부터 투자자를 보호하는 역할을 한다.
우리나라가 BIT나 FTA에 따라 외국인 투자자들에 보장하고 있는 공정・공평한 대우는 국제투자협정에서 오랫동안 보장되어 오던 규정임에도 불구하고 그 내용이 갖는 추상성으로 인해 많은 분쟁의 소지를 가지고 있다. 다수의 ISD 소송사례들에서 보여주고 있는 바처럼, 국가 정책의 수립과 운영 및 변경 과정, 법령의 제정 및 개정에 관련된 매우 다양한 상황들에서 분쟁이 발생하고 있고, 특히 국내・외적 상황의 변화에 따른 법령 개편이나 정책 변경이 공정・공평한 대우 위반에 관한 분쟁으로 이어질 수 있는 가능성이 크다는 점에 항상 유의해야 한다. 이는 외국인 투자가 이루어졌던 시점을 기준으로 투자자가 가졌던 다양한 기대가 합리적이고, 정당하다면 보호되어져야 하기 때문이다. 물론 외국인 투자자가 갖는 합리적 기대는 주관적 기대가 아니라 법적 안정성 등 객관적 상황들에 기초한 것이다. 법적 안정성이 투자 유치국의 법령 개정권을 부인하는 것은 아니지만, 투자자가 투자를 하던 당시에 예견할 수 있었던 범위 내에서 투자 유치국의 법규나 영업 환경의 일관성, 투명성, 지속성이 훼손될 경우 합리적 기대가 침해되어졌다고 판단된다. 이러한 판단은 투자자와 투자 유치국의 사정을 고루 감안해야 한다는 점, 투자 유치국의 명시적인 약속이 있었으며 투자자가 이를 신뢰하였고 그 신뢰가 합리적이었어야 하는 점, 투자 유치국의 사회・경제적 환경, 발전 단계, 특수성에 대한 고려가 있어야 하는 점 등에 대한 종합적 판단 하에 이루어진다. 또한 투자자의 합리적 기대를 침해하려는 악의가 없더라도 합리적 기대는 침해될 수 있으며, 투자유치국의 공익적 규제권한에 따른 조치일지라도 공익에 비해 피해가 지나치게 큰 것은 아닌지 즉 공익과 피해 간에 일정한 균형이 유지되고 있는지도 중요한 판단요소가 된다.
공정・공평한 대우를 규정하는 국제투자규범의 규율방식이 다양하기 때문에 공정・공평한 대우의 구체적 의미는 해당 투자규범에서 공정・공평한 대우를 규율하는 방식에 따라 다른 규정들과의 연관성속에서, 그리고 조약의 대상과 목적에 맞게 해석되어져야 한다. 우리나라의 경우도 BIT와 FTA에 따라, 그리고 어떤 국가와 투자조약을 체결하였는지에 따라 공정・공평한 대우를 규율하는 방식에 차이를 두고 있는 것이 사실이다. 따라서 ISD 소송이 발생할 경우 공정・공평한 대우를 규율하는 방식에 따라 공정・공평한 대우의 구체적 의미나, 동 기준을 판단하는 요소들이 달라질 수 있음을 주목할 필요가 있다.
The recent surge in the ISD lawsuit filed against the Korean government is likely to cause major domestic confusion. This is because as in Lone Star case, foreign investors have claimed a huge amount of damages filed against Korea in the ISD lawsuit. The fair and equitable treatment (FET) standard is a key element in the ISD lawsuit filed against the Korean government. The standard protects investors against serious instances of arbitrary, discriminatory or abusive conduct by host States. As such, it constitutes an important investment protection element of IIAs. At the same time, the vague and broad wording of the obligation carries a risk of an overreach in its application. The FET standard may be applied in investor-State arbitration to restrict host-country administrative and governmental action to a degree that threatens the policy making autonomy of that country. The substantive content of the FET standard has been fleshed out by arbitral tribunals on a case-by-case basis.
There is no full consistency in the application and interpretation by arbitral tribunals of the FET obligation. The vagueness of the FET standard, as currently expressed in the majority of IIAs, is the main reason for a lack of consistency in its interpretation. The significant number of decided cases has generated some salient trends clarifying the of the FET standard. These include the limited protection of investors’ legitimate expectations, a prohibition of arbitrary and discriminatory treatment, denial of justice and abusive conduct towards investors. Other elements, such as transparency, consistency, legality and stability of regulatory framework, have featured in a number of arbitral awards, but it appears premature to speak about a consensus in relation to those, given the concern and criticism they have raised and the fact that some of those them were drawn from the preamble of the applicable treaty and not from the FET obligation itself.
