본 논문은 2020년 12월 개정된 상법에서 감사 및 감사위원회와 관련된 내용을 다룬다. 핵심적인 사항은 감사위원의 분리선임 의무화와 주주총회의 의결정족수 완화가 될 것이다. 이 두 가지 쟁점은 학계에서 계속 문제의 제기가 있었던 부분으로서, 이에 관한 논의가 이미 많이 있다. 본 논문은 이를 정리하면서 2021년 주주총회에서 제기된 법적 쟁점들을 살펴보고자 한다.
감사위원의 분리선임은 감사위원의 독립성을 둘러싸고 가장 첨예한 논쟁이 이어졌던 주제이다. 이미 금융회사의 지배구조에 관한 법률에서 1인 이상의 감사위원에 대한 분리선임을 규정하였고, 이번 상법개정도 같은 입장을 취하였다. 다만 원칙적으로 1명이고, 2명 이상을 분리선임하기 위해서는 정관에 규정을 두어야 한다는 점에서, 더 명확한 규정을 두었다고 평가할 수 있다. 이에 따라, 앞으로는 감사위원 선임의 안건을 상정하기 위해서는 분리선임 여부를 명시하고, 분리선임과 일괄선임은 서로 다른 안건으로 분리해야 한다. 특히 회사에서 제안한 후보자와 주주제안으로 추천된 후보자가 서로 경합하는 경우 그 선임방법이 문제된다. 현재 관행적으로 이루어지고 있는 순차표결은 주주제안으로 올라온 후보가 표결을 거치지도 못하고 자동으로 폐기될 수 있어서, 경영권분쟁 상황에서는 법적 리스크가 큰 방법이다. 더 안전한 방법으로 일괄표결을 하는 방법도 있고, 어떤 투표방식을 선택할지를 주주총회의 안건으로 올리는 방법도 생각할 수 있다.
감사위원 분리선임과 함께 이번 상법개정에서는 그 동안 감사위원의 선임 및 해임과 관련하여 3% 의결권 제한이 복잡하게 되어 있던 부분을 단순화하였다. 해임은 선임과 동일하게 하면서, 최대주주는 합산 3%, 기타주주는 단순 3%의 원칙을 가지고 단순화한 것인데, 이렇게 최대주주와 기타주주를 차별하는 부분은 정책적인 쟁점으로 남아 있다. 이번 개정은 규정의 혼란스러움을 정리한 것에 주안점을 두었으므로 실질적으로 3% 의결권 제한의 내용이 달라진 부분은 거의 없다.
주주총회에서 감사 및 감사위원 선임에 있어서는 4분의 1 이상이라는 의결정족수를 폐지하고 단순히 참석 의결권의 과반수로 선임할 수 있게 되었다. 2015년 섀도보팅이 폐지된 이후, 주주의 참석률이 저조한 상황에서는 상장회사의 주주총회결의가 이루어질 수 없다는 문제가 계속 제기되었고, 특히 3% 의결권 제한이 적용되는 감사 및 감사위원의 선임에 있어서는 이 문제가 현실적으로 드러났다. 이에 개정상법은 전자투표의 실시를 조건으로 하여 4분의 1 이상이라는 의결정족수 요건을 적용하지 않도록 개정하였다. 감사 등의 해임에는 적용되지 않으며, 상장회사가 이렇게 완화된 의결정족수를 적용하기 위해서는 먼저 정관의 개정이 있어야 한다. 우리나라의 4분의 1이라는 의결정족수는 해외 입법례가 없고 이론적인 근거도 없다. 따라서 향후 다른 안건에 대해서도 이 요건의 폐지를 적극 검토할 필요가 있다.
This paper addresses several issues relating to the auditor and audit committee of the Commercial Act revised in December 2020. One of the features that attracted public attention is the mandated separate appointment of at least one audit committee member. This issue has been seriously debated in legal academia since the Ministry of Justice first proposed such amendment in 2013. This paper summarizes the academic debates and examines several issues raised in recent legal practices.
The separate appointment of audit committee members means that shareholders directly appoint persons to audit committee members, instead of first appointing them as directors and then appointing some of them to audit committee members. The crucial difference between these two methods is that, in the separate appointment, the voting power of each shareholder is limited to 3% of outstanding shares, while such limitation is not applicable in appointing directors in the first stage of the latter method. The Act on Corporate Governance of Financial Companies already stipulated the separate appointment of one or more audit committee members, and the Commercial Code took the same path. Accordingly, in order to submit a shareholder proposal to appoint a certain person as an audit committee member, a shareholder should explicitly specify whether the separate appointment is required or not. Moreover, when several candidates compete for an audit committee member, the current voting method needs to be closely re-examined.
Along with the separate appointment, the requirement of “approval by more than a quarter of the votes of outstanding shares” was abolished in the election of auditors or audit committee members, and thus shareholder approval can be obtained simply by a majority of the voting rights present in the shareholders’ meeting. Since 2015 when shadow voting was abolished, the problem caused by this “a quarter” requirement has been witnessed in listed companies, where individual shareholders are not willing to attend the shareholders’ meeting. The Commercial Act was amended so as not to apply such requirement under the condition of company’s implementing electronic voting. Arguably, it is the right direction. Such “a quarter” requirement has no legal precedent overseas and has no theoretical background. This paper support the view that the Code should abolish this requirement in relation to the other agenda discussed in shareholders’ meeting.
