상법 제466조 제1항은 회사 발행주식의 총수의 100분의 3 이상에 해당하는 주식을 가진 주주의 회계장부 등에 대한 열람·등사청구권(이하 ‘회계장부열람권’이라고 한다)을 인정하고 있다. 상법 제466조 제1항에 따라 열람청구는 ‘이유를 붙인 서면으로’ 해야 한다. 대법원 1999. 12. 21. 선고 99다137 판결은 ‘이유 기재의 정도’에 관하여, 절차를 신중하게 함과 동시에 회사로 하여금 열람에 응할 의무의 존부 또는 열람을 허용할 회계장부의 범위 판단을 손쉽게 할 수 있도록 하기 위하여 그 이유는 구체적으로 기재하여야 한다고 판시하였다.
위 대법원판결 이후 대구지방법원 2002. 5. 31. 자 2002카합144 결정은 ‘이유 기재의 구체성의 정도’에 관하여, “소수주주가 이유로 제시하는 회사의 부정한 행위 또는 부적정한 행위가 사실일지 모른다는 최소한의 합리적인 의심이 생기는 정도”(이하 ‘합리적 의심 요건’이라고 한다)를 요구하였다. 이러한 ‘합리적 의심 요건’을 요구하는 것이 하급심 판례의 주류를 이루게 되었다.
그러나 대법원 2022. 5. 13. 선고 2019다270163 판결(이하 ‘대상판결’이라고 한다)은 ‘이유 기재의 구체성의 정도’에 관하여, “그 이유가 사실일지도 모른다는 합리적 의심이 생기게 할 정도로 기재하거나 그 이유를 뒷받침하는 자료를 첨부할 필요는 없다.”라고 판시함으로써 ‘합리적 의심 요건’을 부정하면서 ‘이유 기재의 구체성 정도’를 완화하였다.
이 글은 우리나라가 회계장부열람권 제도를 계수한 미국과 일본의 관련 법조항과 판례를 살펴보고, 위와 같은 대상판결의 적부(適否)에 대하여 검토해 보았는바, 대상판결의 판시는 아래와 같은 이유로 타당하다 할 것이다. ① 청구이유 기재에 있어서 ‘합리적 의심 요건’을 요구하게 되면, 상법이 인정한 주주의 회계장부열람권 행사가 과도하게 제한받게 된다. ② 남용방지장치가 구비되어 있기 때문에, 남용방지를 위해 추가로 ‘합리적 의심 요건’을 요구해야 할 필요성에 의문이 제기된다. ③ 대표소송제기권과 회계장부열람권의 기능적 연동성(機能的 連動性)을 고려할 때, ‘대표소송 제소청구 시의 이유 기재의 구체성’과 ‘회계장부 열람청구 시의 이유 기재의 구체성’은 유사하게 볼 필요가 있다. ④ ‘합리적 의심 요건’을 요구하지 않는다고 하여, 해외 사례들과 달리 소수주주의 이익에 치우치게 된다고 보기 어렵다. ⑤ 경영진 견제와 주주권의 실효성 확보를 위해 회계장부열람권을 강화할 필요가 있다.
According to Article 466, paragraph (1) of the Commercial Act, any shareholder who holds shares representing at least three percent of the total number of issued and outstanding shares may request in writing, stating the grounds therefor, the inspection or copying of the books of account and related documents. About ‘the degree of the statement of the grounds’, The Supreme Court’s ruling in case 99da137 on December 21, 1999 held that the grounds should be stated with particularity to proceed procedure carefully and to make it easier for the companies to find the existence of their duty to allow a shareholder to inspect the records and the permissible scope of the records.
After the Supreme Court’s above ruling, about ‘the degree of specificity of the statement of the grounds’, the Daegu District Court’s ruling in case 2002kahab144 on May 31, 2002 required “the degree that gives rise to at least a reasonable doubt that wrongdoing which is stated as the grounds by the demanding shareholder might have occurred actually”(hereafter, ‘a reasonable doubt requirement’). Requiring this ‘a reasonable doubt requirement’ has become the mainstream of the lower court’s rulings.
However about ‘the degree of specificity of the statement of the grounds’, the Supreme Court’s ruling in case 2019da270163 on May 13, 2022(hereafter, this case) held that there is no need to state the grounds to the degree that gives rise to a reasonable doubt that grounds might be true or to attach materials supporting that grounds. So this case denied ‘a reasonable doubt requirement’ and liberalized ‘the degree of specificity of the statement of the grounds’.
This paper referred to relevant laws and rulings of the US and Japan and reviewed the propriety of this case. It can be said that the court judgement is proper according to the following reasons. ① If ‘a reasonable doubt requirement’ is required when it comes to the statement of the grounds, the exercise of shareholder's right to inspect books of account would be restricted obsessively. ② There are several tools to prevent misuse, so there can be a doubt about the need to require ‘a reasonable doubt requirement’ additionally. ③ Considering functional interoperability between ‘shareholder's right to inspect books of account’ and ‘shareholder's right to file representative suits’, it is necessary to require the similar degree of specificity of the statement of the grounds when shareholder requests the company to file a lawsuit against directors and when shareholder requests the inspection of the books of account. ④ Even though ‘a reasonable doubt requirement’ is not required, it would be hard to say that the system would be biased toward the minority shareholders. ⑤ It is necessary to reinforce shareholder's right to inspect books of account to monitor the management and secure the effectiveness of the shareholder's right.
