넷째, 채권확정소송을 거쳐 미실권 회생채권을 회생채권자표에 기재한다 하더라도, 회생계획 내 미확정 회생채권을 위한 규정을 미실권 회생채권에도 적용할 수 있는지, 만약 권리변경 방법에 대해 다툼이 있는 경우 어떻게 해결할지, 결국 다시금 이행소송을 제기해야 하는 것은 아닌지 등 의문이 생긴다.
다섯째, 채권확정소송과 이에 따른 회생채권자표의 불복수단 및 사유가 이행소송의 그것과 다르고, 자칫 이는 채권자와 채무자 사이의 법률관계를 불안정하게 만들 우려가 있다.
또한 대상판결의 원심에서 설시한 미실권 회생채권의 구제수단으로 채권확정소송이 타당하다는 이유 부분은 ‘미실권 회생채권의 구제방법’보다는 ‘미실권 회생채권의 권리변경 여부’와 밀접히 연관될 뿐이어서 설득력이 약하다.
물론 이행소송을 미실권 회생채권의 구제수단으로 삼을 경우에도, ① 주문의 형식, ② ‘미리 청구할 필요’ 인정 여부, ③ 출자전환에의 적용 등 문제가 있으므로, 추가 연구가 필요함은 분명하다.
In the subject cases, the Supreme Court upheld conclusions of the courts below, which endorsed the use of “lawsuit for confirmation” as a redress for “unextinguished rehabilitation claims,” departing from the traditional “lawsuit claiming performance.” However, this judicial stance raises numerous concerns.

Thirdly, the inclination towards “lawsuit for confirmation” as a remedy for unextinguished rehabilitation claims presupposes that the results of such legal actions are recorded in the Table of Rehabilitation Creditors. However, this assumption invites several questions regarding its practicality and validity, due to the existence of numerous unresolved issues, such as whether it is appropriate for a Grade V court official, or equivalent, to make corrections to the table of rehabilitation creditors on the grounds that rehabilitation claims which have not been subsumed under the purview of rehabilitation procedures remain unextinguished, and the retroactive conferral of legal efficacy on such unextinguished claims.
Fourthly, even if unextinguished rehabilitation claims are documented in the table of rehabilitation creditors following a lawsuit for confirmation, questions arise as to the applicability of the regulations for unconfirmed rehabilitation claims in the rehabilitation plan to these unextinguished claims, and the resolution of disagreements over changes in rights. These uncertainties hint at the potential necessity for a new lawsuit claiming performance.
Fifthly, the lawsuit for confirmation and the ensuing mechanisms to contest the table of rehabilitation creditors diverge from those in the lawsuit claiming performance, risking instability of the legal relationship between debtors and creditors.
In the judgment of the courts below of the subject cases, the rationale for choosing lawsuit for confirmation over lawsuit for performance as a solution for unextinguished rehabilitation claims is tied more to the issue of alteration of rights for unextinguished rehabilitation claims than to the method of remedy for such claims, and thus is limited in its persuasiveness. These issues necessitate a more detailed examination, which could contribute to an evolving understanding of the complexities surrounding rehabilitation claims.
