대법원 2022. 3. 31. 선고 2017다263901 판결(이하 ‘대상판결’이라 한다)은 「동산․채권 등의 담보에 관한 법률」(이하 ‘동산채권담보법’이라 한다)에 따른 동산담보권에 관하여 의미 있는 판시를 하였다. 위 판결은 유체동산의 강제집행절차에서 동산담보권자의 지위, 즉 배당에 참여할 자격에 관하여 종래 학설이나 하급심 판결과 다른 결론을 내었다.
이 글에서는 먼저 동산채권담보법상 동산담보권의 효력 및 동산담보등기, 유체동산에 관한 강제집행절차, 유체동산 및 부동산 강제집행절차에서 배당받을 채권자의 범위, 민사집행규칙 제132조의2의 신설 경위 등 대상판결의 쟁점에 관하여 논의하기 위해 알아야 할 배경지식에 대해 살펴본다. 그 다음 선행 쟁점인 유체동산 매각절차에서 동산담보권의 처리에 관하여, 주된 쟁점인 일반채권자의 강제집행절차에서 동산담보권자가 배당요구를 하여야 배당을 받을 수 있는지에 관하여 차례로 검토하였다.
민사집행법과 동산채권담보법에는 일반채권자의 경매 신청으로 의하여 유체동산이 매각된 경우 동산담보권이 소멸하는지, 동산담보권자가 배당요구를 하지 않을 경우 배당을 해야 하는지에 관한 규정이 없다. 우리 민사집행법이 우선변제권 있는 담보물권에 관하여 소멸주의를 원칙으로 하고 있고, 인수주의를 취할 경우 매각이 어려워지고 복잡한 문제가 발생하며 동산담보권자의 보호에도 충분하지 않은 점을 고려하면, 유체동산의 매각 시 동산담보권은 소멸한다고 보아야 한다. 나아가 ① 동산담보권자는 실체법적으로 압류채권자에 대항할 수 있는 우선변제권을 가진 자로서 ‘담보등기’라는 강력한 공시방법을 갖춘 물권자인 점, ② 소멸주의 및 잉여주의의 취지에 비추어 동산담보권이 매각으로 소멸하는 이상 당연히 채권의 우선적 만족을 얻도록 해주어야 하는 점, ③ 동산의 담보거래를 활성화하기 위한 동산채권담보법의 입법취지 및 ④ 경매채권자와의 이익형량 등을 종합적으로 고려하면, 압류 전 등기를 마친 동산담보권자에게는 당연히 배당을 해야 한다고 보는 것이 타당하다. 대상판결의 결론에 찬성한다. 향후 관련 법령, 예규 등의 정비를 통해 유체동산의 강제집행절차에서 동산담보권자의 지위가 강화되고 동산담보제도가 더욱 활성화될 것을 기대한다.
This article discusses the Supreme Court Decision from March 31, 2023(case number 2017Da263901, hereinafter “the decision”). According to the decision, secured creditors of corporeal movables under the 「Act on Security Over Movable Property, Claims, Etc.」 are entitled to distribution of the sale proceeds in compulsory execution proceedings initiated by general creditors, regardless of whether they submitted a distribution demand or not. The decision was contrary to the lower courts’ rulings and the opinions of respected academics and scholars.
A number of underlying facts are examined in this article, including the new security right under the 「Act of Security Over Movable Property, Claims, Etc.」, collateral security registries, compulsory execution proceedings for corporeal movables, creditors eligible for distribution, and the 「Regulation of Civil Execution」 §132-2.
This article addresses two key issues related to the decision based on the above examination. The first issue is, could security rights be extinguished upon execution sales initiated by general creditors? The second is, are security creditors still entitled to distributions of sale proceeds when they have not submitted a distribution demand? For now, there are no explicit provisions on these issues under the 「Civil Execution Act」 or 「Act on Security Over Movable Property, Claims, Etc.」.
Although, in the case of immovables, security rights are by law extinguished upon execution sales. If security rights are not extinguished and still remain after the sale, the sale would be much more complex and it may leave many drawbacks to secured creditors as well as buyers and debtors. Thus, there is little doubt that security rights should be extinguished upon sales whether secured creditors have demanded for distribution or not.
Based on this argument, it is important to consider whether secured creditors still have the right to receive proceeds without the submission of demands. Secured creditors are registered by a strong and public disclosure measure under 「Act on Security Over Movable Property, Claims, Etc.」 in order to protect their rights. Since security rights become extinguished upon execution sales, secured creditors shall considerably be entitled to distribution beyond a simple procedural oversight such as submission of demand in the view of substantive law. 「Act on Security Over Movable Property, Claims, Etc.」 was enacted to ensure security transactions of movables, and security rights should not simply be extinguished without satisfaction against the original legislative intent. Last but not least, since security rights are publicly disclosed in the registry system, protecting secured creditors’ rights should take precedence over executing creditors’ expectations. Therefore, secured creditors registered before the seizure should be rightfully entitled to distribution and have priority rights over general creditors even without having submitted the distribution demands.
The author of this article strongly supports the decision and further calls for supplemental legislation that asserts to protect secured creditors’ fundamental rights to distribution in compulsory execution sales.
