가상자산과 관련된 형법적 이슈는 다양하다. 가상자산이 등장한 후 가상자산의 몰수와 추징보전의 문제, 가상자산을 통한 범죄수익은닉과 자금세탁의 문제뿐만 아니라 최근에는 가상자산의 발행·상장·거래와 관련된 부정적 현상이 급격히 증가하고 있다. 가상자산시장도 증권시장과 같이 정보비대칭, 불공정거래 등의 문제점이 발생하고 있다. 가상자산의 발행행위와 투자유치행위와 관련된 형법적 이슈에는 프로젝트의 실체가 없거나 부실한 ‘불량코인 발행행위’, ‘사기적 청약행위’, ‘코인 다단계’ 등이 있다. 이와 관련해서는 형법상 사기죄 성립 여부, 유사수신행위의 규제에 관한 법률(이하 ‘유사수신행위법’이라 한다) 위반 등이 문제 될 수 있다.
가상자산과 관련된 형사법 문제를 접근하는 이론적 기초, 즉 형사불법의 근거는 행위자의 반도덕적 행위보다는 자본시장의 경쟁적 구조를 왜곡시키고, 시장기능을 위태롭게 하는 것에 있으며, 형법상 보호법익은 자본시장에 대한 공정성과 신뢰 보호이다. 가상자산과 관련된 형법적 이슈를 다룰 수 있는 법률에는 자본시장과 금융투자업에 관한 법률(이하 ‘자본시장법’이라 한다)이 있지만, 동법을 적용하여 형사처벌하기 위해서는 행위객체가 자본시장법상 ‘증권’에 해당하여야 한다. 가상자산이 증권에 해당하지 않는다면 자본시장법을 적용할 수 없다. 본 논문에서는 가상자산의 경제적 실체에 따라 증권형과 비증권형으로 구분하는 이원적 규제 체계를 가질 수밖에 없다는 점을 지적하였다. 하지만 가상자산의 증권성 여부에 대한 판단 기준이 지나치게 전문법 영역에 속할 뿐만 아니라 그 판단 기준이 형법적 관점, 즉 죄형법정주의 관점에서 보면 불명확하며, 포괄주의 방식에 따라 가상자산의 금융상품성과 증권성이 모호할 경우 형법 제16조 포섭의 착오가 발생할 여지가 높다는 점을 지적하였다.
가상자산 발행자와 거래자 간의 정보격차와 불공정성을 해소하여 시장의 신뢰성을 확보하기 위해서는 ICO와 관련된 불공정행위를 유형화하고 위반행위에 대한 구성요건을 정밀화할 필요가 있다. 형법상 사기죄 성립 여부 판단에 있어서 기망행위와 관련된 불확실정보, 예측정보, 판단자료로써 백서 등을 검토하였다. 유사수신행위법 위반죄 판단에 있어서 출자금과 가상자산 등을 검토하였다.
The task of solving the criminal law problem related to virtual assets is quite complex and difficult. The approach to criminal law issues concerning virtual assets should focus on the distortion of the competitive structure of the capital market and the jeopardizing of market function, rather than solely on the moral behavior of the actor. The legal interest of protection under criminal law is fairness and the protection of trust in the capital market.
After the advent of virtual assets, virtual assets were involved in conventional criminal law issues, such as confiscation of virtual assets, preservation of additional collections, and concealment of criminal proceeds and money laundering through virtual assets. In recent years, negative phenomena related to issuance, listing, and transaction of virtual assets are rapidly increasing. Like the stock market, the virtual asset market also has problems such as information asymmetry and unfair trade.
Criminal activities related to virtual assets include defective coin issuance, fraudulent subscription, quid pro quo listing fees, illegal market making activities, market price adjustment, fraudulent transactions, and the use of undisclosed important information. These activities raise concerns about fairness and trust in the virtual asset market.
Existing laws like the Capital Markets Act can address criminal issues related to virtual assets, but there are challenges. The Capital Markets Act is a law that can deal with criminal issues related to virtual assets, but in order to apply this law and punish it criminally, the object of action must correspond to “securities” under the Capital Markets Act. If virtual assets do not fall under securities, the Capital Markets Act cannot be applied. Prior to the application of the Virtual Asset User Protection Act, which takes effect on July 19, 2024, regulations on virtual assets other than securities were insufficient. There is no choice but to have a dual regulatory system that is divided into securities type and non-securities type according to the economic reality of virtual assets.
Determining whether a virtual asset qualifies as a security is complex. The criteria for this classification are highly specialized and unclear from the criminal law perspective. Ambiguities in financial productivity and security of virtual assets can lead to errors in legal classification.
There is an information gap and unfairness between virtual asset issuers and traders. To resolve this, it is necessary to categorize unfair practices related to Initial Coin Offerings (ICOs) and refine the components of violations. White papers, which often contain uncertain and predictive information, are reviewed to establish violations.
Many criminal legal issues related to virtual assets remain unresolved. While it's ideal to comprehensively organize these issues and reflect them in legislation, the rapid technological progress in virtual assets makes it difficult to predict future developments. Therefore, immediate measures, such as the Virtual Asset User Protection Act, are necessary to protect users, with further supplementation based on discussions from major countries like the United States and the EU.
