사법형 분쟁해결수단(Alternative Dispute Resolution, 이하 ‘ADR’이라 한다)은 당사자 사이의 합의에 의한 분쟁해결이지만, 법원에 의한 분쟁해결이라는 성격도 갖고 있다. 이러한 사법형 ADR에 의한 분쟁해결 결과로 무자력이었던 채무자의 재산이 수익자에게 이전됨으로써 채무자의 공동담보에 부족을 초래하는 경우 이를 사해행위로 보아 취소할 수 있는지 문제 된다.
조정이나 화해, 혹은 화해권고결정, 조정을 갈음하는 결정에 의한 재산권의 이전이라 하더라도 그것이 사해행위로서의 주관적, 객관적 요건을 충족시킨다면 이를 취소하고 이전된 재산을 원상에 회복해야 한다.
그런데 판례는 무자력의 채무자가 특정 채권자를 위해 재산권을 이전하거나 담보를 설정해주는 행위에 대해 그 대가의 상당성을 묻지 않고 사해행위로 보는 입장에 서있다. 나아가 사해행위의 주관적 요건과 관련해서도 적극적인 ‘해의’가 아닌 소극적 ‘인식’ 정도면 족하다고 보고 있으므로 채무자의 재산권을 이전하기로 하는 내용의 조정이나 화해가 사해행위에 해당할 가능성이 높다.
그러나 분쟁을 원만하게 해결하기 위한 노력의 결과가 사해행위라는 이유로 부정될 수 있다는 위험은 법적 안정성에 대한 위협이 될 뿐만 아니라 조정이나 화해를 통한 분쟁해결을 꺼리게 만드는 요인이 된다. 이러한 문제를 해결하기 위해 다양한 유형의 조정, 화해 기법에 대한 연구가 필요하겠지만, 근본적으로는 사해행위 성립 요건에 대한 보다 엄격한 해석과 사해행위취소로 인해 야기될 법률관계의 불안을 최소화할 수 있는 법리 검토가 수반되어야 한다.
Judicial ADR is a resolution by agreement between the parties, but it is also a resolution by a court. As a result of the dispute settlement by judicial ADR, if the property rights of the debtor who was incapacitated are transferred, it is questionable whether it can be revoked as a fraudulent act.
Even if mediation, mediation, or transfer of property rights stipulated in a decision recommending a compromise is subject to cancellation if it meets the subjective and objective requirements as a fraudulent act.
Judicial precedents regard the transfer of property rights or the establishment of collateral by an incapacitated debtor for a specific creditor as a fraudulent act, regardless of the reasonableness of the price. Furthermore, regarding the subjective requirements of fraudulent acts, they take the attitude that passive ‘recognition’ rather than active ‘harm’ is sufficient.
However, if the results of efforts to amicably resolve disputes are easily denied on the grounds that they are fraudulent acts, it becomes a factor that discourages dispute resolution through mediation or reconciliation. To solve these problems, research on various types of mediation and reconciliation techniques is needed. Fundamentally, it should be accompanied by a strict interpretation of the requirements for fraudulent acts and amendments to the law to minimize the anxiety of legal relations caused by the cancellation of fraudulent acts.
