채권자취소권의 행사 결과 책임재산을 구체적으로 어떻게 분배할 것인지에 대해 각 입법례들은 다른 태도를 취하고 있다. 우리 민법은 상대적 무효설에 따라 취소를 하면서도 책임재산을 분배하는 과정에서는 채권자평등주의를 취하는 다소 독특한 입법례를 가지고 있다. 채권자평등주의를 명시적으로 폐기하지 않는 이상, 제도의 운영은 이에 부합하는 방향으로 이루어져야 한다. 그러나 취소채권자가 가액배상에 따라 금전을 보유하게 되었을 경우, 우리 판례는 일본 판례와 같이 상계를 허용하는 결론에 입각해 있다. 그리고 이에 대한 비판적 입장은 계속 개진되어 왔다.
다만 기존의 비판들은 채권자취소 제도의 취지 및 실제 운영 과정에서 드러나는 잘못된 결과를 바탕으로 이루어져왔다. 하지만 판례의 결론은 상계의 요건이 갖추어져 있는지에 대한 근본적인 측면에서 비판되어야 한다고 생각한다. 상대적 무효설 하에서는 채무자가 취소채권자에게 수동채권을 보유한다고 볼 수 없고, 가사 채권을 보유하고 있다고 하더라도 이는 특별재산에 속하거나 법률에 의하여 압류할 수 없는 채권에 해당하여 상계할 수 없다. 특히 상계는 사적인 강제집행의 성격을 가지는데, 채무자가 취소채권자에게 보유하고 있는 권리는 강제집행의 대상이 되는 권리라고 볼 수는 없다.
민법 개정안에 따르더라도 상계는 여전히 허용되지만, 이는 명문의 법률에 의한 것이고 다른 채권자들을 보호할 절차를 마련해 두고 있다. 그럼에도 민법이 개정되기 전까지 판례의 태도는 여전히 변경되어야 할 필요가 있다는 점을 강조한다.
Different countries have different attitudes regarding how to specifically distribute liability assets as a result of the exercise of obligee's right of revocation. Our civil act has a somewhat unique legislative example that adopts obligee egalitarianism in the process of distributing liability assets while canceling the case based on the theory of relative invalidity. Unless obligee egalitarianism is explicitly abolished, the operation of the system must be conducted in a manner consistent with it. However, if the revocation obligee comes to hold money based on value compensation, our precedent is based on the conclusion that set-off is allowed, like the Japanese precedent. And critical positions on this have continued to be expressed.
However, existing criticisms have been based on the purpose of the obligee cancellation system and the incorrect results revealed in the actual operation process. However, I think the conclusion of the precedent should be criticized from the fundamental aspect of whether the requirements for offset are met. Under the theory of relative invalidity, the obligor cannot be considered to hold a passive obligation against the cancellation obligee, and even if it holds a obligation, it cannot be set off because it is a special property or a obligation that cannot be seized by law. In particular, set-off has the nature of private compulsory execution, and the rights held by the debtor against the cancellation obligee cannot be considered rights subject to compulsory execution.
Even under the Civil Act amendments, set-off is still permitted, but this is in accordance with the law and procedures are in place to protect other obligees. Nevertheless, it is emphasized that the attitude of precedents still needs to be changed until the Civil Act is revised.
