이 글에서는 대법원 2020. 11. 26. 선고 2018다293315 판결의 쟁점인 소수주식의 강제매수제도를 사용하지 않고 주식병합을 우회적으로 활용하여 소수주주를 축출하는 것이 가능한지 여부에 착안하여, 상법에서 규정하고 있는 소수주식의 강제매수제도와 주식병합을 비교·분석하고, 일본의 특별지배주주의 주식매도청구의 활용도가 높은 이유를 분석한 후 우리나라 법제에 시사하는 바를 고찰하였다.
일본은 우리나라보다 늦게 특별지배주주의 주식매도청구를 도입하였음에도 불구하고 이 매도청구 제도가 소수주주 축출제도로서 자리매김하였다. 특별지배주주의 주식매도청구는 소수주주 축출 및 기업조직재편에 소요되는 시간을 대폭 단축하였다. 그런데 우리나라는 소수주식의 강제매수제도를 소수주주 축출제도로 활용하기 위해서 도입하였음에도 불구하고 위 제도를 활용하는 사례가 많지 않고, 우회적으로 주식병합을 활용하여 소수주주를 축출하는 경우가 많은 것으로 보인다. 소수주주 축출제도로서 소수주식의 강제매수제도의 활용을 제고하려면 소수주식의 강제매수제도의 요건을 완화할 필요가 있다.
첫째, 지배주주 요건을 완화할 필요가 있다. 우리나라 지배주주 요건은 ‘발행주식총수의 95% 이상’인데, 각 나라마다 지배주주 요건을 달리 정하고 있고, 우리나라 상법은 ‘발행주식총수의 90% 이상’을 보유 시 조직재편을 약식절차로 진행할 수 있는 점, 실제 소수주식의 강제매수제도의 입법과정에서 견해 대립이 있었던 점에 비추어 볼 때 소수주식의 강제매수제도가 소수주주 축출제도로서 제대로 기능할 수 있도록 지배주주 요건을 다른 조직재편과 마찬가지로 발행주식총수의 90%로 그 비율을 맞추는 것을 고려해 볼 필요가 있다.
둘째, 상법 제360조의24 제1항에서 ‘경영상 목적’을 삭제할 필요가 있다. 소수주식의 강제매수제도를 규정하고 있는 영국, 독일의 입법례와 비교해 보더라도 경영상 목적을 규정하고 있는 국가는 우리나라가 유일하다. 우리나라 소수주식의 강제매수제도의 경영상 목적은 미국의 합병 사례에서 유래한 것인데 미국에서 경영상 목적은 소수주주 보호를 위한 요건이다. 소수주식의 강제매수제도는 지배주주가 잔여 주식을 취득하여 동업관계의 해소를 목적으로 하는 것이므로, 이와 별도로 경영상 목적을 요구하는 것은 타당하지 않다. 그러므로 소수주식의 강제매수제도에서 경영상 목적을 삭제하는 것이 타당하다.
셋째, 주식가격을 결정함에 있어 주식대금 사전지급제도 등을 도입할 필요가 있다. 우리나라와 달리 일본은 특별지배주주가 공정한 가격이라고 인정하는 액수를 먼저 지급하는 것이 가능하고, 법원의 주식가격 결정이 있기 전이라도 법무국에 주식매수대금을 공탁할 수 있다(일본 회사법 제179조의8 제3항). 우리나라는 지배주주 매도청구권 행사 시 법원에 주식가격 결정을 신청하는 경우가 많아 이 절차에서 상당한 시간이 소요되는바, 신속한 기업조직재편이 어려운 경우가 많다. 우리나라도 주식대금 사전지급제도 등을 도입하여 신속한 기업조직재편이 가능하게끔 할 필요가 있다.
This article compares and analyzes the controlling shareholders’ rights to request sale (hereinafter ‘CRR’) and the consolidation of shares stipulated in the Commercial Act, analyzes the reasons for the high use of the special controlling shareholders’ right to request sale(hereinafter ‘SCRR’) in Japan, and considers the implications for the Korean legal system, based on the issue of whether it is possible to oust minority shareholders by circumventing the CRR and using the consolidation of shares.
Although Japan introduced the SCRR later than Korea, it has established itself as a system for ousting minority shareholders. The SCRR has significantly shortened the time required for Cash out and corporate reorganization. However, Korea has introduced the CRR to be used as a system to eliminate minority shareholders, but there are not many cases of utilizing the above system, and it seems that there are many cases of using the consolidation of shares to eliminate minority shareholders by circumventing the system. In order to improve the use of the CRR as a minority shareholder removal system, it is necessary to relax the requirements of CRR.
First, the controlling shareholder requirement needs to be relaxed. Korea’s controlling shareholder requirement is “95% or more of the total number of issued and outstanding shares”, but each country has a different controlling shareholder requirement, and Korea’s Commercial Act allows reorganization to proceed as a summary procedure if the controlling shareholder holds “90% or more of the total number of issued and outstanding shares.” In light of the fact that there were conflicting views during the legislative process of the compulsory purchase system for minority shares, it is necessary to consider setting the controlling shareholder requirement to 90% of the total outstanding shares like other reorganizations so that the compulsory purchase system for minority shares can function properly as a minority shareholder ouster system.
Second, it is necessary to delete “managerial objectives” from Article 360-24 (1) of the Commercial Act. Compared to the legislative examples of the United Kingdom and Germany, which stipulate a compulsory purchase system for minority shares, Korea is the only country that stipulates a business purpose. The business purpose of the compulsory purchase system for minority shares in Korea is derived from merger cases in the United States, where the business purpose is a requirement to protect minority shareholders. Since the compulsory purchase system of minority shares is aimed at dissolving the partnership by acquiring the remaining shares of the controlling shareholder, it is not reasonable to require a separate business purpose. Therefore, it is reasonable to remove the business purpose from the compulsory purchase system for minority shares.
Third, it is necessary to introduce a system of advance payment of share price in determining the share price. Unlike Korea, Japan allows special controlling shareholders to pay what they consider to be a fair price and deposit the purchase price with the Legal Affairs Bureau even before the court determines the share price [Article 179(8)(3) of the Companies Act of Japan]. In Korea, when a controlling shareholder exercises its right to sell, it often applies to the court to determine the share price, which takes a considerable amount of time, making it difficult to reorganize quickly. Korea needs to introduce a system of advance payment of stock price to enable rapid corporate reorganization.
