급속한 글로벌화와 혁신적인 IT기술의 발전 등의 글로벌적인 문제의 복잡성이 더해짐에 따라, 법령의 범위를 넘어서 기업조직의 자율적인 행동을 중시하는 움직임이 세계적으로 강조되고 있다. 얼마 전 한국에서 개최된 G20 정상회의 역시 글로벌라이제이션의 경향을 보여준다. 이런 세계적인 추세 속에서 우리의 기업들이 글로벌라이제이션에 맞추려면, 무엇보다도 기업지배구조 개선에 앞장서서 기업의 사회성, 책임성 및 지속 가능한 발전을 추구해야 한다는 의견이 힘을 얻고 있다. 1997년 IMF외환위기 때 한국 경제발전의 주축을 이룬 몇몇 재벌 그룹들의 도산으로, 재벌 그룹의 경영난 및 경영형태의 심각성을 직시하게 되었고, 한국은 지배구조라는 새로운 회사법 영역을 받아들이게 되었다. 한국경제 발전에 기여한 여러 재벌들은 이를 적용하기 위한 다양한 노력과 시도를 하였다. 지난 10년간 여러 가지 작업으로 지배구조를 개선하려는 노력을 해왔고, 여러 차례 상법 개정 작업을 하였으며, 자본시장 및 금융투자업에 관한 법률 및 공정 거래에 관한 법률 등을 마련하였다. 하지만 감사위원회, 사외이사제도, 소액주주권, 그리고 지주회사변환 등의 지배구조의 형태적인 측면은 갖추었으나 기능적으로 효과적인 활동을 하지 못하는 점으로 인해, 여전히 기업의 부당행위가 발생하고 투명성이 확보되지 못하고 있는 등 개선점은 남아있다고 보인다. 2001년부터 2002년까지 벌어졌던 '엔론', '월드컴' 등의 기업회계부정 스캔들, 2008년 서브프라임 모기지 사건, 2009년 토요타 사건 등은 전 세계적으로 기업 지배구조의 문제점이 여전히 남아있다는 것을 시사하고 있다. 한국 또한 재벌의 지배구조 개혁의 문제가 미완성임을 부정할 수 없다. 법적 영역에서 지배구조 개혁을 도모하는 것도 필요하다. 하지만 전 세계적 추세에 맞춰 기업이 자발적으로 주주 권한을 강화하고, 기업의 사회적 책임을 다하는 길을 모색하고, 지속 가능한 발전을 위해 기업지배구조를 개선해야 함이 중요하다는 것을 이 논문을 통해 밝힐 것이다. 경제발전을 이루어 낸 한국 재벌의 기업에 대한 사회성과 세계적 추세인 글로벌라이제이션의 통합을 이루어 낸다면 한국기업의 지배구조는 세계 어느 나라의 모델과 견준다 하여도 손색이 없을 것이라 생각한다.
