    Maynard (Loyola Law School) presents the third edition of his casebook on the law of mergers and acquisitions, maintaining the same essential goal of earlier editions: the introduction of traditional topics in this area of law in terms accessible to law students unfamiliar with the business subject of mergers and acquisitions. This is achieved by avoiding string citations to the literature in favor of breaking the subject down into manageable chunks that emphasize fundamental principles of mergers and acquisitions law alongside the public policy considerations that underlie the legal framework, as well as the practical business considerations important to a mergers and acquisitions lawyer. He maintains the emphasis on statutory analysis and suggests the additional purchase of a statutory supplement that includes the relevant provisions of the Delaware and California corporations codes as well as the full text of the ABA's Model Business Corporation Act. The volume emphasizes the use of problems to illustrate planning for modern mergers and acquisitions transactions, as well as the following themes: the role of the lawyer as transaction planner, the increasing importance of fiduciary duty law, and corporate governance concerns.
