우리나라의 자진신고자 감면제도를 EU 및 미국 등의 관련제도와 비교?분석함으로써 현재 우려되는 문제점 및 미비점을 분석하고 이에 대한 개선방안을 제시하고자 한다. 먼저 우리나라에서 자진신고자 진술서면이 생성, 현출되고 외부에 유출되는 경로를 망라하여 알아보고, 미국 증거개시제도의 의의와 개시대상 및 범위를 살펴본 다음, 외국에서는 자진신고자 진술서면을 어떻게 보호하고 있는지를 밝혀 일정한 시사점을 얻고자 한다.
한국 공정거래위원회에 자진신고자가 제출한 진술서면을 비롯한 자료들은 원칙적으로 discovery의 대상이 될 수 있다. 자료의 유형이나 형태는 문제되지 않으며, 대부분의 경우 FRCP 상의 관련성(relevance) 요건을 만족시키게 될 것이다. 또한 현행법령에 의하면 자진신고자가 이를 통제할 수 있는 자료로 간주될 가능성이 크다. 비닉특권(Privilege)을 주장하는 것은 거의 인정되지 않을 것이다. 전술한 바와 같이 변호인-의뢰인 특권의 주장은 이미 제3자(공정거래위원회)에 해당 정보를 공개하였으므로 특권의 포기로 받아들여질 것이기 때문이다. 조사특권(investigatory privilege)의 주장 또한 Vitamins사건이나 Methionine사건의 선례에 비추어보거나 그 외 조사특권에 관한 문제를 감안할 때 미국 법원에서 인정되지 않을 가능성이 높다고 할 것이다. discovery의 역외적용과 관련하여서는, 해외에 소재한 증거의 discovery가 문제되었을 때 원고가 헤이그 협약과 FRCP의 절차 중 어느 것을 따라야 하는가가 문제되나, 전술한 바와 같이 미국연방대법원은 헤이그협약의 절차가 discovery를 위한 유일한 절차가 아니며 헤이그협약의 절차에 대한 강제성을 인정하지 않고 있다. 진술서면을 직접 현출시키지 못한다 하더라도 원고 등에 대한 deposition 등과 같은 다양한 방법을 통하여 사실상 동일한 내용을 현출시킬 수 있다는 점도 확인하였다. 다만 현실적으로는 자진신고자가 실제로 모든 위법행위 내용을 자백할 것으로 기대하기는 어렵기 때문에, 실제 증명력에 있어서 외국 경쟁당국에 제출한 진술서면과 동등한 것으로 평가하기는 어려울 것이다.As competition law enforcement against international cartels by the Korea Fair Trade Commission("the KFTC") is strengthened and the KFTC depends on leniency program more and more recently, necessities to protect leniency applicant's information that is submitted to the KFTC is growing. U.S. leniency applicants may not cooperate with the KFTC without such protection because they might become exposed to extended risk to lose a treble damages civil lawsuit in U.S. in case their statement is discovered and used by plaintiffs to prove their own cartels. Such a discovery can be decisive because their statements that set forth involvements to agreements may be regarded as a confession in the civil lawsuit. It may be particularly true since their potential amount of damages in U.S. is usually significantly larger than that the KFTC can reduce as a reward of leniency application and following cooperation.
Foreign competition authorities have met similar problems, too. To address this loop-hole and make leniency program working, EC modified the rule of leniency program in 2006 so that leniency applicants' corporate statements are not to be discovered in the U.S. civil procedure.
This article discloses that current procedural rules allow such a discovery almost freely and have an effect to impede foreign cartelists' leniency application and necessary cooperation. It may hinder the KFTC's active participation in global cooperation to investigate international cartels by competition authorities. To address this pitfalls, the KFTC needs to make corresponding changes of the leniency program to that by EC. In other perspective, however, the changes is not to infringe too much upon defendants' rights to defend that is guaranteed by the Constitution. This article proposes that limiting machine-copies of statements of leniency applicants by defendants and third parties will significantly reduce the risk of discovery. It is an appropriate improvement that harmonize the necessities of such protection and the guarantee of rights to defend. Along with the proposed changes, the KFTC should seek to take other supplementary measures including redaction of the leniency applicants' identities in the examiner's reports and decisions, and arguing investigatory privilege and positive comity before the U.S. civil courts when discovery is ordered.
