이 글은 회사가처분의 개념을 민사집행법상 임시의 지위를 정하는 가처분의 일종으로서 회사의 인적, 물적 조직에 관련된 것으로 파악하면서, 회사가처분의 기본구조와 주요 회사가처분 유형에 관한 개별 쟁점을 살펴보고 있다. 이 글에서 먼저 주목하는 것은 임시지위가처분의 기능과 제도설계의 방향이다. 임시지위가처분은 본안사건과의 관계에서 생각될 수밖에 없고, 가급적 가처분법원의 오판이 불러올 수 있는 회복불가능한 피해를 최소화하는 방향으로 구성될 필요가 있다. 이러한 점에서 볼 때 현행 실무상 피보전권리와 보전의 필요성에 관한 심리는 불명확한 부분이 있으므로 각기 본안의 승소가능성과 관련자들의 회복불능한 손해를 중심으로 심리를 진행할 필요가 있다. 또한 피보전권리와 보전의 필요성은 기존 판례의 입장처럼 별도의 독립된 요건이 아니라 상호 보완적인 요건으로 파악하는 것이 타당할 것이다. 이러한 기본구조에 관한 논의는 다른 임시지위가처분제도에도 확장될 수 있다고 생각된다.
개별쟁점에 관한 논의로서 회사가처분 중 (a) 이사의 직무집행정지 및 직무대행자 선임 가처분, (b) 의결권 행사금지 가처분, (c) 주주총회 개최금지 또는 결의금지 가처분, (d) 신주발행금지 가처분을 비교, 검토하면서 각 사건의 본안, 당사자, 제3자의 이익 또는 공익의 고려여부, 제3자에 대한 효력, 가처분위반행위의 사법상 효력을 살펴보았다.
다수의 이해관계자가 관련되는 회사가처분의 특수성과 위 회사가처분들의 실제 효과를 고려할 때, 위 각 가처분에 있어서 당해 회사를 공동피신청인으로 삼는 것이 바람직하고, 가처분 결정시 제3자의 이익 또는 공익 역시 고려대상이 되어야 한다고 생각한다. 또한 위 가처분명령에 대세효를 부여하고, 일단 발령된 가처분에 대한 위반행위를 무효화함으로써 가처분명령을 위반하려는 행위를 억지할 필요가 있다. 이는 기본적으로 임시지위가처분의 경우 다양다기하고 무정형한 것이어서 법원이 피신청인의 범위나 가처분명령의 효력에 관한 법리를 보다 탄력적으로 정립해갈 여지가 있다는 데에서 출발하고 있다. 회사기관의 선임/해임, 주주총회 운영, 신주발행이 문제되는 경우, 가처분 결정단계에서 회사 등 주요관련자들이 피신청인으로 관여할 수 있게 하되 일단 내려진 가처분명령에 대하여는 모든 회사관련자로 하여금 이를 준수하도록 하는 것이 타당하다고 보는 것이다. 다만 이는 그 행위의 효과가 회사관련 다수인에게 미쳐서 획일적으로 처리되는 것이 바람직한 위 회사가처분에 한정된 것이고, 이사의 위법행위유지 가처분, 주주명부 내지 회계장부 열람·등사 가처분 등 다른 회사관련 가처분의 경우 가처분명령의 피신청인과 효력은 별도로 따져볼 필요가 있을 것이다.In many Korean corporate litigations, preliminary injunctions play more critical role than the merits themselves: parties in a preliminary injunction tend not to raise further lawsuits once the court decides who would prevail in the preliminary injunction process. The requirements for issuing a preliminary injunction order, however, are far from clear and mostly up to courts' discretion. This paper is to point to problematic legal practice concerning preliminary injunction in Korea and to suggest legislative reform.
The paper can be divided into two major sections. To begin with, the structural aspect of preliminary injunction is dealt with (Chapter I-III). Under current legal practice, two factors should be proved before the courts issue a preliminary injunction order: the existence of petitioner's right that could be preserved by a preliminary injunction; the urgency or necessity for issuing preliminary injunction. The Korean courts traditionally focused upon the first factor, i.e., their decisions depended upon the likelihood of success on the merits. Nowadays, the courts have changed their stance a bit, emphasizing independent importance of both factors: even where the petitioner is likely to prevail on the merits, the courts shall not issue preliminary injunction as far as the urgency or necessity is unproved. However, the requirements for issuing preliminary injunction cannot be defined without considering the role of preliminary injunction. Generally speaking, a preliminary injunction is to keep status quo until final decision on the merits is made. Because a 'preliminary' injunction is by nature interim and under time pressure, there is relatively high possibility of erroneous decision. Thus, as is mentioned by Prof. Leubsdorf and Judge Posner earlier, preliminary injunction trial should be designed to reduce the negative effect of erroneous decision. From this perspective, the courts should balancing two factors for issuing preliminary injunction order: where likelihood of success on the merit is high, the courts may issue an preliminary injunction order notwithstanding low urgency or necessity; where urgency or necessity is highly demanding, the court may issue an order notwithstanding low likelihood of success on the merits.
The second section of the paper deals with practical issues from individual preliminary injunctions in corporate law dispute (Chapter IV). Out of many types of injunctions available in corporate law context, most frequently used ones are as follows: one that preliminarily suspends corporate director's exercise of power; one that preliminarily suspend exercise of voting rights in shareholders meeting; one that tentatively ban general or extraordinary shareholders' meeting; one that tentatively ban issuing of new stocks. This paper addresses to controversial issues upon those major injunctions including: the parties of preliminary injunction process; the effect of preliminary injunction; and how to deal with a breach of preliminary injunction order.
