2011년 개정된 상법은 경영상 어려운 여건에 처한 기업이 자금조달을 원활하게 할 수 있도록 하기 위하여 무액면주식 제도를 도입하였다. 다만 완전한 무액면주식 제도를 도입하지 않고 액면주식과 무액면주식 제도를 허용하면서 기업들의 필요에 따라 그 중 한 가지 제도를 선택하도록 규정하고 있다. 무액면주식의 최저 발행가액에 대해서는 제한하지 않고 있다. 자본충실의 측면에서 무액면주식의 경우 자본금에 대한 지분금액 이상으로 발행되어야 한다는 조항이 필요하다고 본다.
무액면주식을 발행하는 경우 자본금은 주식발행가액의 2분의 1 이상으로서 이사회에서 정한 금액이며 자본금으로 계상하지 아니하는 금액은 자본준비금으로 계상한다(제451조 제2항). 반면 액면주식을 발행하는 때는 자본금은 액면총액이 되고, 그 이상의 금액은 자본준비금으로 된다. 따라서 액면주식의 액면금액을 2배 이상 할증하여 발행하면, 무액면주식을 발행하는 경우보다 자본금으로 계상하는 금액은 더 적게 되고 자본준비금으로 더 많은 금액을 할당할 수 있으므로 보다 탄력적인 재무전략을 취할 수 있게 된다. 이러한 문제를 해결하기 위해서는 액면주식과 무액면주식을 동일하게 취급할 필요가 있으며, 양자 모두 발행가액(또는 액면금액)의 2분의 1을 초과하지 않은 금액을 자본금에 전입하지 않을 수 있도록 규정하는 것이 필요하다.
무액면주식을 분할하는 때에는 액면분할이 필요하지 않고 주식 수만 증가하게 되므로 정관을 변경하는 절차가 필요 없게 된다. 그러나 상법은 액면주식과 무액면주식을 구분하지 않고 주식을 분할하는 때에 주주총회 특별결의를 요구하고 있는데(제329조의2 제1항), 무액면주식의 주식분할은 이사회 결의로 가능하다는 내용을 제329조의2 제1항에 추가하여야 할 것이다.
무액면주식을 채택한 경우 주식배당을 할 수 있는지 여부가 문제된다. 이러한 논란이 생긴 것은 무액면주식 제도를 도입하면서 무액면주식의 주식배당 기준에 관하여 규정을 하지 않은 입법의 미비로 인한 것이다. 입법론적으로는 제462조의2 제2항에서 무액면주식을 발행한 경우 주식배당 기준을 “주식배당을 결의한 주주총회에서 정한 발행가액”을 기준으로 한다는 문구를 추가하여야 할 것이다.
무액면주식의 경우 1주당 발행가액은 액면주식과는 달리 정관의 절대적 기재사항이 아니다(제289조 제1항 제4호). 따라서 설립등기를 통하여 공시되어야 하는데, 무액면주식이 보통주식과 종류주식으로 두 가지 이상의 종류가 발행되는 경우 각각의 발행가액을 등기하지 않으면 이를 알 수가 없다. 따라서 설립 시 등기사항으로서 종류별 무액면주식의 발행가액을 포함하는 것이 바람직할 것이다.2011 revised Korean Commercial Code (“KCC”) introduced no-par stock in order to accelerate equity financing of the companies which are confronted with difficulty in raising capital. The KCC allows Korean companies to adopt par value stock or no-par stock according to their needs and to convert one another. This policy seems desirable because it can avoid the confusion raised from abrupt implementation of no-par stock and enable Korean companies to have some adjustment period toward no-par stock.
However, the KCC does not prescribe minimum issuing price of no-par stock. In terms of maintaining stated capital, it may be necessary for no-par stock to include the provision which issuing price of no-par stock be more than proportional value of no-par stock to stated capital.
According to the KCC stated capital will be more than a half of total amount of issuing value of no-par stock and the amount must be decided by the board of directors. Among total value of no-par stock the amount which is not allocated to stated capital belongs to capital reserve. On the other hand, in case of par value stock stated capital will be the total amount of par value and the rest of the amount belongs to capital reserve. Therefore, if the par value stock is issued more than two times higher than par value, the amount which should be allocated to stated capital will be smaller, but the amount which should be allocated to capital reserve will be smaller compared with issuing no-par stock. In this case par value stock can enjoy more flexibility than no-par stock. In order to solve this problem it is necessary to treat par value stock and no-par stock equally by prescribing the provision which allows not to allocate to sated capital the amount less than a half of issuing value of both stocks.
Issuing price of no-par stock is not an item which must be written on article of incorporation. Therefore it needs to be disclosed through the registration of incorporation. However, in case more than two classes of no-par stocks are issued the issuing price of no-par stock is not disclosed unless individual price of each stock is registered. Therefore it would be necessary for individual price of issuing stock to be included on the registration of incorporation.
