자본시장 국제화의 발현형태 중 하나로서, 외국회사의 국내상장이 최근 활성화되고 있다. 외국회사의 국내상장은 자본시장법상의 ‘증권’인 주식이나 KDR을 국내에서 공모·상장하는 방식으로 구체화되는데 이 외국주권과 KDR간에는 발행근거와 증권으로서의 속성, 그리고 적용법규 등의 측면에서 상호간 적잖은 차이점이 존재한다. 따라서 다양한 법률문제가 수반되는 외국회사의 국내 상장절차에서, 주식과 KDR 중 어느 것을 상장대상 증권으로 정할 것인가가 무엇보다 중요하나, 아직 이에 관한 명확한 기준이 시장에 제시되지 못하고 있다.
이와 관련, 가장 먼저 고려되어야 할 점은 대상 외국회사가 해외에서 주식 형태로 1차상장을 한 기업인가 여부이다. 해외에서 1차상장을 마친 기업이라면 국내에서의 2차상장이 결과할 ‘주식·주식 형태의 교차상장’에 따른 문제점을 피하기 위해 국내상장은 KDR의 상장이 되어야 한다. 증권선택에서 또 다른 중요 고려사항 중 하나는 해당 외국회사의 속인법인 설립준거법상 증권의 실질소유자와 발행회사간의 직접적인 법률관계가 형성되는가, 혹은 그 속인법이 우리나라의 실질주주제도를 승인할 수 있는가 여부이다. 기타 국내에 상장된 외국 증권에 대한 제권판결의 관할권 문제, 나아가 우리나라에서의 상장 이후 본국 등에서의 추가 상장계획 등도 증권선택의 일반적 기준으로 고려되어야 할 것이다.
이에 더하여, 최근 국내상장 시도가 급속히 증가하고 있는 미국과 일본 회사에 대한 추가적 고려사항으로서 미국 34년법상의 등록의무 문제, 일본의 증권무권화제도하에서의 주주명부 관리제도와 우리나라의 실질주주제도와의 조화 문제 등도 고려되어야 할 것이다.One of the recent consequences of capital market globalization has been an increasing number of foreign companies knocking on Korean capital markets to list their securities in Korea. This 'inbound foreign listing' is done by publicly offering and listing shares or Korean Depositary receipts ('KDRs') by foreign issuers. Although both shares and KDRs are recognized as 'securities' by Financial Investment Services and Capital Market Act ('Capital Market Act'), there are several differences between shares and KDRs with respect to the ground of issuance, their nature, and applicable laws. Therefore, the 'choice of securities' between shares and KDRs, which has various legal implications in the listing process, is indeed very important. But standard criteria for such decision have not yet been formally introduced in the markets.
One of the most important factors to be considered in this choice is whether or not the foreign company has already listed its shares on an offshore exchange. If it has, the Korean listing should be made in the form of KDRs, in order to avoid legal complications resulting from 'shares(primary listing on foreign exchange)-shares(secondary listing on Korean exchange) cross listing.' Another essential consideration would be whether or not a direct legal relationship between the foreign issuer and prospective Korean end investors (the intermediated holders of the securities issued by the issuer) is legally recognized under the applicable governing law of the foreign issuer, or whether such governing law is able to approve the Beneficial Shareholder System under the Capital Market Act of Korea. Furthermore, issues on jurisdiction of judgment of exclusion over the foreign securities and further listing plan on its own domestic exchange by the foreign issuer should also be considered in choice of securities issue.
Finally, U.S. and Japanese issuers that increasingly seek access to Korean capital markets, require additional legal analysis in choosing securities. For the U.S. issuers planning listing on Korean market, the registration obligation of securities under the U.S. Securities Exchange Act of 1934 should not be overlooked. As for the Japanese issuers, the balance between the Beneficial Shareholder System under the Capital Market Act of Korea and the relevant Japanese law is a factor to be considered.
