이 글은 상법 제360조의25에 새로이 도입된 소수주주의 매수청구권을 제360조의24의 지배주주의 매도청구권과 비교하여 살펴본 글이다. 소수주주의 매수청구권 행사시 지배주주의 지분요건 등은 지배주주의 매도청구권의 그것과 동일하게 규정되어 있다. 따라서 상법 제360조의24 제1항의 자기계산으로 ‘보유’한다는 규정의 의미를 ‘소유’로 보아야 한다는 점 등은 두 권리에 있어서 동일하게 적용될 것이다. 다만 소수주주의 매수청구권과 지배주주의 매도청구권은 여러 점에서 차이가 있다. 첫째, 지배주주의 매도청구권은 회사사정을 잘 아는 지배주주에 의해 행사되므로 남용될 가능성이 더 높다. 둘째로, 소수주주 1인이 지배주주에 대해 개인적으로 행사하는 매수청구권과 달리 지배주주의 매도청구권은 소수주주들 전체에 대하여 행사되는 것이다. 셋째로, 소수주주의 매수청구권은 단순히 환가가 목적인 반면, 지배주주의 매도청구권의 목적은 100% 주식을 확보하는 것이다. 이 글은 이와 같은 차이점과 해외 입법례를 참조하여 몇 가지 입법적인 시사점을 제시하고 있다. 소수주주가 매수청구권을 행사하기 위해서는 지배주주의 지분율 변동을 파악하고 있어야 하는바 현행 상법은 이에 관한 공시규정이 없다. 소수주주의 매수청구권을 실효성 있게 보장하기 위하여 공시제도를도입할 필요가 있다. 다음으로 소수주주의 매수청구권과 달리 지배주주의 매도청구권은 다수 소수주주들의 상대로 한 집단적인 효과를 목표로 하는 것이므로, 매도청구의 절차 및 효력을 일률적으로 규율하는 방안을 검토할 수 있을 것이다. 보다 일반적으로 소수주주의 매수청구권과 지배주주의 매도청구권 전반에 걸쳐 향후 입법적으로 검토되어야 할 사항을 살펴보면 다음과 같다. 먼저 현 조문상 발행주식 총수를 기준으로 지분율을 산정하도록 되어 있는 결과, 의결권 유무를 불문하고 95% 기준을 달성하면 나머지 주식에 관해 매수청구 또는 매도청구를 할 수 있게 된다. 이를 일관할 경우 저가의 종류주식을 다량 보유하면서 다른 종류주식의 축출에 나서는 등 형평을 잃은 경우가 발생할 수 있다. 따라서 종류주식별로 축출을 실행할 수 있도록 하는 등 입법적 보완을 고려할 수 있을 것이다. 또한 향후 매수청구, 매도청구와 관련하여 주식가격의 산정이 가장 큰 어려움으로 등장할 수 있는바, 향후 이른바 상대지분 기준형의 도입을 검토할 수 있을 것이다.Among the new provisions adopted by the Revised Korean Commercial code of 2011 (“KCC of 2011”), sell-out rights by minority shareholders stands against buy-out rights by majority shareholders. Under Article 360-25 of the KCC of 2011, a minority shareholder may force the dominant shareholder to buy his shares where the dominant shareholder has not less than 95% of the outstanding shares. On the contrary the dominant shareholder with not less than 95% of the outstanding shares may squeeze remaining minority shareholders out under Article 360-24. While the structure and expression of Article 360-25 resemble those of Article 360-24, there exist several differences between two devices: for example, the buy-out right should be exercised against all minority shareholders but sell-out of minority shares is feasible upon individual minority shareholder’s decision. In consideration of those differences and relatively little prior research over sell-out rights than buy-out rights, this paper aims to explore newly-adopted sell-out rights. To this end, this paper starts with comparing the sell-out devices in other countries with the KCC of 2011, especially those in the european countries. The EU Takeover Directive, the U.K. Companies Act and the German Takeover Act employ takeover sell-out/buy-out under which a takeover bid should precede sell-out or buy-out. So-called corporate sell-out scheme that entitles minority shareholders to sell-out rights absent takeover bid is uncommon in other countries. Because the minority shareholder cannot recognize the shift of major share ownership without preceding takeover bid and its resulting report, the KCC should adopt a new provision for mandatory notice by dominant shareholders that reach 95% shareholding ratio. This paper also deals with some practical and technical issues in implementing sell-out rights, which includes the calculation of 95%, the object of sell-out and the effect of share transfer in the midst of sell-out process. This paper concludes with several suggestions for legislative reform in sell-out (and buy-out) provisions.
