상장회사의 경우 연결재무제표가 주재무제표화됨에 따라 외부감사를 담당하는 회계법인들의 업무가 폭주하고 있다. 2011년 개정상법에 따라 12월 결산법인의 42.2%인 305개사가 재무제표의 승인 및 이익배당의 결정을 이사회의 결의를 통하여 할 수 있도록 정관을 변경하였음에도 불구하고, 2013년 3월에 정기총회가 집중되는 현상은 변화가 없는 것으로 나타나고 있다.
이처럼 정기총회가 3월 말에 집중되는 직접적인 원인은 사업연도 종료후 3개월 이내에 사업보고서를 제출하거나, 법인세법상 확정신고를 해야 하는 데에 기인하지만, 이러한 제한은 기술적인 것이다. 오히려 근본적인 원인은 배당을 결정하고 배당을 받아야 하는 주주를 결산기말의 주주로 정하고 있는 관행에 기인한다.
이러한 관행은 일본으로부터 계수된 것이고 일본에서는 상법이 도입된 초기부터 계속된 것이지만, 세계 주요 선진국에서는 그 예를 찾아보기 힘든 일본에 특유한 관행이다. 그러나 일본에서도 2001년 상법 개정을 통해 일정한 조건 아래 이사회가 재무제표의 승인과 배당결정을 할 수 있는 제도를 도입하면서, 이에 대한 재검토가 이루어지고 있다. 특히 경제가 글로벌화됨에 따라 외국 기업과 투자가 활발하게 이루어지고 있는 최근의 경제환경에서, 외국 기업들에게 익숙하지 않는 이러한 독특한 관행은 기업들의 경제활동에 상당한 불편을 초래하고 있다. 또한 3월 말에 정기총회가 집중됨으로써 이로 인한 문제점들이 개선되지 않고 있다.
이 논문에서는 이러한 관행의 문제점을 검토하고 그 개선방안을 제시하였다. 특히 영업연도 말을 배당기준일로 상정하고 있는 상법상의 규정들을 철폐하면 결산기를 의결권과 배당의 기준일로 하는 현재의 관행을 개선하는 데에 상법상의 걸림돌이 없다는 점을 분석하였다. 그 외에도 의결권의 기준일과 배당기준일을 분리하는 방안, 기준일의 효력기간을 축소하고 소집통지기간을 연장하는 방안, 소집통지를 받는 주주와 의결권을 행사하는 주주를 다르게 할 수 있는 방안 등을 논의하였다. 또한 사업연도 종료후 90일 이내에 사업보고서를 제출하게 하는 자본시장법상의 관련 규정에 대한 개선방안도 제시하였다.Since the adoption of consolidated financial statement, accounting firms taking charge of inspecting listed companies' financial statements have been confronted with flood of related works. According to 2011 revision of the Korean Commercial Code (“KCC”), 42.2 percent of listed companies which are scheduled to close the books at the end of December changed their article of corporations to allow the board of directors to approve annual financial statements and to decide the distribution of profits. However, the trend of concentration of annual shareholders' meeting during March has not changed.
The reason of this concentration is due to the regulatory system that listed companies must submit annual report within ninety days after the closing date of fiscal year. However, this reason is technical and the more fundamental reason lies in the business practices that the shareholder at the time of settlement term should decide the distribution of profits and the amount of dividend.
This practices came from the Japan and it had continues from the beginning stage of adopting corporation law from western countries. However, it is very unique system compared with other advanced countries. Moreover, the Japan starts to review the system and revised related laws recently by allowing the board of directors to approve annual financial statements and to decide the distribution of profits.
This article reviews the problems of current practices and proposes enhanced legal measures to solve the problems. It suggests eradicating the articles of the KCC which are based on the practices to treat settlement date as the record date for distribution of profits. In addition, the measures to separate the record date for distribution of profits from the record date for the annual shareholders meeting, to extend the period for the notification of annual shareholders' meeting, and to reduce the effective period for record date are proposed. It also suggests to revise related articles of the Financial Investment Services and Capital Markets Act.
