채무자의 무자력이 민법 제404조, 제405조가 규정한 채권자대위권을 행사하기 위한 하나의 요건인가에 관하여, 학설과 판례는, 채무자의 채권이 비금전채권이 아닌 경우에는, 민법 제404조가 규정한 ‘채권의 보전의 필요’를 법적 근거로 보고, 채무자가 무자력이 아님에도 채권자가 채무자의 권리를행사하는 것은 채무자의 재산관리의 자유에 대한 부당한 간섭이 된다고 하여, 이를 긍정하고 있다.
채권자대위권은 상인파산주의를 취하던 프랑스에서 비상인의 실질적 파산상태인 채무초과상태의 경우에 일반담보를 보전하기 위하여 금전채권자에게 인정된 것이므로 연혁적인 면에서 채무자의 무자력을 대위권행사요건으로 하는 것이 타당할 수도 있다. 그러나 우리 민법 제404조는 채권자는 ‘자기의 채권을 보전하기 위하여’ 대위권을 행사할 수 있도록 하고 있을 뿐 무자가 무자력인 경우에 대위권을행사하도록 하고 있지 아니하다. 또 우리 민법 제404조가 규정한 “자기의 채권의 보전의 필요”란 입법당시에 ‘자기의 채권의 확보’를 뜻하는 것이었고 채무자의 무자력을 뜻하는 것은 아니었다. 민법 제404조가 규정한 ‘자기의 채권을 보전하기 위하여’를 채무자의 무자력을 뜻하는 것으로 보는 것은 원래의입법취지에도 맞지 아니하고, 일반적인 용어사용에도 맞지 아니하다. 민법 제404조가 규정한 ‘자기의채권을 보전하기 위하여’란 채권자가 채무자의 권리를 대위행사하지 않으면 자기 채권의 집행이 어렵게 될 위험이 있다는 것을 뜻하고, 민사집행법의 “보전의 필요”(같은 법 제277조, 제300조)와 같은 것으로 보아야 한다.
채권을 행사하는 것은 원칙적으로 채권자의 자유이고, 채권자대위권은 채권의 효력의 하나이므로 이를 행사하는 것 또한 그것이 성질상이나 법적인 제한이 없는 한 채권자의 자유라고 하여야 한다. 그럼에도 채무자의 재산상의 권리행사에 대한 부당한 간섭이 된다고 하여 법이 특별히 규정하고 있지 않은, 채무자가 무자력 이어야 한다는 요건을 붙여 채권자의 권리행사를 제한하는 것은 타당하지 못하다.
그러므로 채권자대위권행사에 채무자의 무자력을 요건으로 하는 것은 실정법적으로나 채권자대위권의 채권자의 권리로서의 성질상 근거가 없는 것이다.Concerning the debated question whether the obligor's insolvency is a requisite in exercising the obligee‘s right of subrogation prescribed in the Article 404, and the Article 405 of Corean Civil Code, most of authors and judicial precedents answer in the affirmative, except for the non-monetary claims, on the basis of the Article 404 about the preservation of obligee's claim, and the fact that, in spite of the obligor's solvency, the obligee's exercise of the obligor's rights is an unwarranted interference against the freedom of obligor's management of his property.
Originally, in France where the bankruptcy is recognized only against the merchant, the obligee's right of subrogation is recognized against the non-merchant for the purpose of preservation of general property or security, and it may be reasonable that the obligor's insolvency should be a requisite of exercise of the obligee's right of subrogation. However the Article 404 of Corean Civil Code prescribes only that the obligee may, ‘in order to preserve his claim’, exercise the rights belonging to the obligor, not prescribing the obligor's insolvency. And the necessity of preservation of obligee's own claim, prescribed in the Article 404 meant, in then legislation, the secure of obligee's claim, and it did not mean the obligor's insolvency. Thus regarding the necessity of preservation as an insolvency of the obligor fit neither to the purpose of the legislation nor to the general use of terms. The necessity of preservation means the difficulty of obligee's execution if the obligee does not exercise the rights of obligor, and it has same meaning the ‘Necessity of Preservation’ in the Article 277, and the Article 300 of Corean Civil Execution Code.
As a general rule the obligee can freely exercise his claim except for the legal or natural limitation of the claim. It is same to the obligee's right of subrogation as a claim. Then, for the reason of an unwarranted interference against the freedom of obligor's management of his property, regarding the obligor's insolvency as a requisite in exercising the obligee‘s right of subrogation is not reasonable.
Therefore the obligor's insolvency is not a requisite in exercising the obligee's right of subrogation in a meaning of the positive law and from the nature of the obligee‘s right of subrogation as a effect of claim.
