선박소유자 등의 책임제한절차는 해상사고와 관련하여 발생한 인적·물적 손해 등의 법률관계를 정리하는 절차로서 제한채권자들 사이에서만 진행되고 배당재원도 책임한도액 상당의 금원으로 제한되기는 하지만, 기금이라는 특유재산에 대한 청산절차의 실질을 가지고 있다는 점에서 채무자 회생 및 파산에 관한 법률에서 규율하는 회생절차, 파산절차, 개인회생절차 등 도산절차와 유사한 성격을 가지고 있다.
이에 관련 법령인 상법 해상편, 선박소유자 등의 책임제한절차에 관한 법률, 유류오염손해배상 보장법에서는 절차의 진행단계에 따라 ‘강제집행 등의 정지’, ‘책임제한기금 이외의 다른 재산에 대한 권리행사의 금지’, ‘절차 외 소송의 중지’, ‘제한채권에 대한 면책’ 등의 규정을 둠으로써 책임제한절차가 도산절차와 비슷한 틀 안에서 진행되도록 규정한다. 물론, 책임제한절차는 어디까지나 문제 된 당해 사고와 관련된 법률관계만을 정리하는 것에 불과하고 신청인 자체의 종국적인 갱생 내지 청산을 목적으로 하는 것은 아니기 때문에 당해 절차가 일반소송 및 집행절차에 미치는 영향은 ‘도산절차가 일반소송 및 집행절차에 미치는 영향’에 비해 제한적이다. 그러나 책임제한절차는 집단적 채무처리절차의 하나이므로 그 제도를 운용함에 있어 도산절차의 법제 및 실무를 검토할 필요가 있고, 나아가 이의채권의 소송수계, 집행력 있는 집행권원 내지 종국판결 있는 제한채권에 대한 처리, 면책된 채권에 기한 강제집행 시 과태료 부과 등 채무자 회생 및 파산에 관한 법률상의 제도를 도입하는 것도 입법론적으로 고려해볼 만하다.
한편 책임제한절차가 개시되기 전후에 그 신청인에 대한 도산절차가 개시되는 경우와 같이 양 절차가 충돌하는 경우에는 ‘책임제한절차와 도산절차 중 어느 것이 우선되는지’, ‘양 절차가 병행하여 진행될 수도 있는지’, ‘책임제한절차를 계속 진행하는 것이 일반 도산채권자들을 현저히 해할 염려가 있는 경우에도 병행 진행이 허용되는지’ 등에 관한 문제가 발생한다. 그런데 이에 대해 관련 법령은 ‘파산절차와의 관계’에 대해서만 규정하고 있기 때문에, ‘회생절차와의 관계’ 내지 ‘개인회생절차와의 관계’에 대해서는 기본적으로 양 절차 사이의 조화로운 해석을 통해 해결하되, 제도의 취지, 일반 채권자들과의 형평성 등에 주목해야 한다. 무엇보다도 책임제한절차와 도산절차의 충돌에 관해서는 아직 집적된 사례가 많이 없어 실무상 다양한 문제가 발생할 수 있으므로, 향후 이에 관한 판례의 태도를 지켜보아야 할 것이다.As a proceeding to resolve claims for loss of life or damages to property occurring on board or in direct connection with the operation of the ship, as well as the consequential loss resulting therefrom, the procedure for Limiting the Liability of Shipowners, Etc. (hereinafter “LLSE procedure”) is implemented only by limited creditors concerned, and the fund for distribution is restricted to the limited amount of liability. However, LLSE procedure has the characteristics of a liquidation proceeding concerning a separate property (the fund), and in this regard, it is similar to insolvency proceedings, such as rehabilitation proceeding, bankruptcy proceeding, and individual rehabilitation proceeding, as prescribed under the Debtor Rehabilitation and Bankruptcy Act (hereinafter “DRBA”) of Korea.
As such, Korea’s relevant laws, such as the maritime part of the Commercial Act, the Act on LLSE Procedure, and the Compensation for Oil Pollution Damage Guarantee Act, prescribe rules along each stages of the proceeding on the “stay of compulsory execution, etc.”, the “prohibition of exercise of rights over petitioner’s assets other than the fund”, the “stay of lawsuit proceedings other than LLSE procedure”, and the “exemption from limited claims”, thereby making the LLSE procedure progress in a framework similar to an insolvency proceeding. Of course, the effects of an LLSE procedure on lawsuit and execution proceedings are limited in comparison to the effects of an insolvency proceeding, since an LLSE procedure only deals with resolving the legal relations arising out of the specific maritime accident and the purpose of the procedure has no relation to the final rehabilitation or liquidation of the petitioner. Nevertheless, since LLSE procedure is one of the collective debt disposal proceedings, it is necessary to review the legislation and the actual practice of insolvency proceeding to better utilize LLSE procedure. Moreover, it may make sense to consider introducing the system as prescribed under the DRBA, including “taking assignment of lawsuit proceedings on objection to claims”, the “disposal of limited claims having title to executory power or final judgement”, and the “imposition of fine for commencement or continuation of compulsory execution by exempted claims.”
Meanwhile, in case of a conflict between LLSE procedure and insolvency proceeding, such as when a petitioner’s insolvency proceeding is commenced before or after the commencement of the LLSE procedure, such issues may arise as “which process has priority”, “whether both proceedings can progress simultaneously”, and “whether simultaneous progression is permissible even in cases where the continued LLSE procedure can substantially harm the general insolvency creditors.” As relevant laws of Korea only regulate LLSE's relationship with bankruptcy proceedings, a resolution of its relationship with the rehabilitation or individual rehabilitation proceedings should be worked out based on a harmonious interpretation of both proceedings, paying a particular attention to the purport of each proceeding and the fairness and equity for the general insolvency creditors. Above all, in light of the dearth of accumulated precedents dealing with the conflict between LLSE procedure and insolvency proceeding, various problems may arise in a practical setting. For this reason, it is important to keep a close eye on pertinent precedents going forward.
