가장 많은 유니콘 기업을 보유하고 있는 미국을 포함하여 벤처기업의 성장이 활발한 영국, 독일, 인도, 중국 등의 경우 복수의결권 발행과 거래소 상장이 허용되고 있다. 쿠팡INC의 미국 상장이 이루어지고, 다른 혁신벤처기업들도 미국거래소 상장의 문을 두드리고 있다. 이러한 결과는 단순히 혁신벤처기업의 성장에 도움이 되지 않는 것에 더하여 결국 우리나라 자본시장의 경쟁력과 거래소의 국제경쟁력의 저하로 이어진다.
우리나라의 경우도 혁신·첨단 테크기업에게 적용되는 벤처기업법에 복수의결권의 도입을 적극적으로 고려하여야 한다. 복수의결권주식의 도입과 관련하여 혁신기업이라고 해서 상법상 대원칙인 1주 1의결권 원칙의 적용에 예외를 인정하는 것에 반대하는 견해가 있지만, 모든 기업에 대하여 적용되는 상법이 아니라 벤처기업법에 한해서 인정하는 것에 대해서는 전향적으로 검토하여야 한다.
복수의결권주식의 남용을 방지하고 긍정적 효과를 극대화하기 위해 일몰규정 도입을 검토할 필요는 있으나, 벤처기업이 복수의결권주식을 발행한 이후 상장하거나 벤처기업의 지위를 상실했다는 이유로 복수의결권주식을 보통주로 강제전환하는 제도를 도입할 필요는 없다. 왜냐하면 벤처기업의 지위 상실을 이유로 복수의결권주식의 보통주 전환을 인정하면 기업의 혁신성장 또는 성장사다리의 제공이라는 정책적 목표의 달성에 도움이 된다고 볼 수 없을 것이기 때문이다.
