상법 제388조에서는 주식회사 이사의 보수에 대해서 규정하면서 이사의 보수는 정관에 그 액을 정하지 아니한 때에는 주주총회의 결의로 이를 정한다고 한다. 그리고 상법 제415조에 의해서 위 규정은 주식회사 감사의 경우에도 준용된다. 그러나 상법에서 주식회사 이사 및 감사의 보수 결정에 대한 내용은 위와 같이 단순한 규정이 유일하고, 주식회사 임원의 보수 결정에 관한 나머지 사항은 위 규정의 해석 및 실무적 운용에 맡겨져 있다. 매년 정기 주주총회에서 주식회사들은 위 규정에 따라서 이사 및 감사의 보수 안건을 상정하여 결의하고 있어서, 주주총회 운영 및 결의사항 집행의 관점에서도 이사 보수 관련 법리의 분석 및 적용은 매우 중요한 의미를 가진다.
본 논문에서는 이러한 주식회사 임원 보수 결정의 실무상 쟁점과 관련하여 주식회사 이사의 보수 결정 관련 절차적 쟁점 및 실체적 쟁점, 주식회사 감사 및 감사위원 보수 결정에 있어서의 특이점, 금전 정액 보상이 아닌 주가 기준 보상 형태로서 주식매수선택권 및 스톡그랜트 등 기타 주식연계보상 제도 관련 쟁점에 대해서 분석하였다.
주식회사 이사 보수는 기본적으로 주주총회에서 그 한도를 결정하고 이사회에서 구체적인 보수체계를 결의하는 방식으로 진행되고, 그 과정에서 기본급, 단기성과급, 장기성과급 및 퇴직금 등 보수의 산정기간 및 방식 등에 따라서 주주총회 및 이사회 결의 내용을 합리적으로 구성하는 것이 중요하다. 또한 이사의 자기거래 및 특별이해관계 있는 이사의 의결권 배제 등 절차적 정당성 확보 관련 쟁점 및 공시 의무의 대상과 범위 등에 대한 검토도 필요하다. 실체적으로도 각 이사에 대한 보수 지급의 경영상 필요성 및 보수 액수 및 지급 조건 등의 공정성 등이 위 각 보수의 종류별로 검토되어서 그 정당성이 인정될 필요가 있다.
감사 및 감사위원의 경우에는 이사의 직무집행에 대한 감독 및 회사의 재산상태 감사라는 독립적 기능 보장을 위해서 보수 결정 단계에서도 이러한 기업 지배구조에서 감사 등의 역할 및 기능이 훼손되지 않도록 유의할 필요가 있다.
또한 최근에는 금액 기준의 정액 보상이 아닌 주가 혹은 회사의 다른 실적지표에 연동하는 주가연계 보상 등이 많이 활용되고 있다. 상법 등 관계 법령에서 그 요건 및 부여 절차 등을 명확히 규정하고 있는 주식매수선택권 외에도 스톡그랜트 등 다양한 형태의 보상제도가 있다. 다만 이러한 보상이 전적으로 주가에 연동하는 경우에는 주식매수선택권 규제 회피 문제가 논란이 될 수 있다. 주가 외에 매출, 영업이익, 당기순이익 혹은 EBITDA 상승분 등 회사의 다른 성과 혹은 재무 지표도 함께 지급 조건에 반영되도록 산정하여 회사 주가에 실질적으로 전부 연동하여 보상 금액이 결정되지 않도록 하는 것이 합리적이다.
The Article 388 of the Korean Commercial Code stipulates that, with respect to remuneration for directors of a corporation, if the amount of remuneration to be received by directors has not been determined by the articles of incorporation, such amount shall be determined by a resolution of a general meeting of shareholders. The aforementioned provision applies mutatis mutandis to statutory auditors of the corporation under the Article 415 of the Korean Commercial Code. However, the foregoing simple provisions are the only black letter rules concerning compensation for directors and statutory auditors of a corporation under the Korean Commercial Code, and other matters concerning remuneration for executives of a corporation are up to the interpretation of the above provisions and practical applications thereof. Given that many corporations determine remuneration for their directors and statutory auditors in the ordinary general meeting of shareholders every year pursuant to the aforementioned provisions, analysis and application of the legal principles regarding remuneration for directors would have a significant meaning in terms of operation of a general meeting of shareholders and execution of its resolutions.
With regard to remuneration for executives of a corporation, this paper reviews and analyzes its substantial and procedural issues, together with the specifics in determination of remuneration for statutory auditors and audit committee members, and issues concerning other equity-related compensation arrangements including stock options, stock grants, etc., which are provided based on stock prices, rather than fixed pecuniary compensation.
The maximum amount of remuneration to be received by directors of a corporation is fundamentally determined by a resolution of a general meeting of shareholders and the specific compensation arrangement including the terms and conditions thereof is resolved by the board of directors. In this process, it is important to organize the resolutions of the general meeting of shareholders and the board of directors reasonably according to the assessment period and formulas of remuneration, based on the categorization of the base salary, short-term performance bonus, long-term performance bonus, and severance payment. Furthermore, issues to secure procedural legitimacy, including directors’ self-dealing regulation and exclusion of the voting rights of directors who have special interest, and the objects and scope of public disclosure obligations therefor need to be reviewed. Moreover, justification for business necessity of remuneration for each director and appropriateness of the specific remuneration amounts and payment conditions need to be examined by each type of remuneration as listed above to secure its substantial legitimacy.
As for statutory auditors and audit committee members, much attention is required not to deteriorate the roles and function of statutory auditors or audit committee members under corporate governance in the process of determining their remuneration so as to guarantee their independent function of supervising directors’ services and auditing the company’s financial status.
Recently, many corporations provide equity-linked compensation, which is in line with its share prices or other performance indexes, rather than fixed pecuniary compensation. Such equity-linked compensation includes stock grants and other various policies, in addition to stock options whose requirements and granting procedures are specified under the Korean Commercial Code and other applicable laws. However, if such compensation is entirely in line with share prices, an issue concerning circumvention of regulations on stock option may be raised. It would be practically reasonable to have the other performances or financial indexes of the corporation, such as revenues, operating income, net profit or EBITDA, reflected in payment conditions, so that the compensation amount is not to be determined entirely in accordance with the share prices.
