미국 증권거래위원회(Securities and Exchange Commission, 이하 ‘SEC’라 함)는 자본시장의 건전성과 공정성을 유지하기 위해 Dodd-Frank Act에 근거하여 증권법 위반자에게 징수한 제재금의 최소 10%에서 최대 30%를 증권법 위반 사실의 적발·조사에 기여한 공익신고자(whistleblower)에게 포상한다. SEC에 제보하는 것을 방해하는 행위에 엄중히 대처하고, 보복 방지 조치 등을 통해 공익신고자가 불이익을 받지 않도록 한다. 이로 인하여 증권법 위반 사실에 대한 공익신고는 급증한다. Dodd-Frank Act에 따른 공익신고자 프로그램(whistleblower program)의 시행(2011. 8.) 이후 SEC는 2022. 1.까지 245명에게 12억 달러를 포상금으로 수여하였으며, 2021 회계연도에는 5.64억 달러를 수여하는 등 제도가 성공적으로 정착하였다. 그러나 우리나라는 舊 증권거래법에 따라 2004. 7.부터 증권 불공정거래 공익신고 포상 제도가 운영되고 있으나 미국에 비하면 성과는 미미하다.
본 연구는 False Claim Act, Sarbanes-Oxley Act 등 미국의 공익신고자 보호·포상 제도의 연혁 및 2008년 글로벌 금융위기에 대한 반성적 고려로 제정된 Dodd-Frank Act의 공익신고자 프로그램의 주요 내용인 포상, 신고 방해·보복에 대한 제재, 비실명 대리 신고, 진실성 서약, 투자자 보호 기금, 경솔한 신고자 제재, SEC로의 신고 창구 일원화 등을 분석한다. 그리고 우리나라의 공익신고자 보호·포상 제도를 전반적으로 검토하고, 비교적 성공적으로 운영되는 국세청과 공정거래위원회의 공익신고 제도와 증권 불공정거래 공익신고 제도를 비교하여 고찰한다. 이를 토대로 발전적 대안을 도출하여 불공정거래에 대한 과징금 확대, 금융감독원으로 신고 창구 일원화, 비실명 대리 신고·익명 신고 제도의 도입, 자본시장 투자자 보호 기금 설치, 금융당국의 보복 방지 조치 권한 부여 등 우리나라의 증권 불공정거래 공익신고 제도의 개선을 위한 시사점을 제시하고자 한다.
자본시장의 발전을 위하여 공정성 회복을 통한 투자자의 신뢰 회복이 화두인 현재 시점에서 점차 고도화·지능화·은밀화되는 불공정거래에 대응하기 위해 불공정거래의 구체적인 전말을 파악하고 있는 내부자의 공익신고는 불공정거래의 적발·조사에 중요한 역할을 한다. 본 연구의 의의를 여기에서 찾고자 한다.
According to the Dodd-Frank Act, the Securities and Exchange Commission(hereinafter referred to as ‘SEC’) of the United States awards minimum 10% to maximum 30% of the civil penalty collected from violators of securities laws as a reward to whistleblowers. In addition, SEC takes strict measures against acts that impede whistleblowing, and takes actions to prevent retaliation so that the whistleblower is not disadvantaged. As a result, whistleblowing on violations of the securities laws is on the sharply rise. After the implementation of the whistleblower program under the Dodd-Frank Act implemented from July 2011, $1.2 billion has been paid to 245 people as rewards until January 2022, and $564 million in fiscal year 2021 (October 2020 to September 2021) was awarded. On the other hand, in Korea, the reward system for unfair securities trading has been in operation since 2004 in accordance with the former Securities Exchange Act, but the current performance is insignificant compared to that of the United States.
First of all, this study would like to deal with the history of the protection and reward system for whistleblowers in the United States, such as the False Claim Act and the Sarbanes-Oxley Act of 2002. Then this study would like to analyze main contents of the whistleblower program of the Dodd-Frank Act, established as a reflection on the 2008 global financial crisis focusing on reward system, sanctions against impeding whistleblowing and retaliation, anonymous whistleblowing system represented by counsel, pledge of integrity, investor protection fund, sanctions against frivolous whistleblowers and unification of whistleblowing routes to SEC.
In addition, this study would like to review the overall protection and reward system for whistleblowers in Korea, focusing on the whistleblowing system on unfair securities trading. Based on this, this study would like to suggest some methods of improvement for whistleblowing system for unfair securities trading in Korea, such as the expansion of imposing monetary penalty system for unfair securities trading, unification of the institution dealing with whistleblowing of unfair securities trading to Financial Supervisory Service, introduction of the anonymous whistleblowing system, the establishment of a capital market investor protection fund, and the authorization of the financial authorities to prevent retaliation against whistleblowers.
In order to respond to the increasingly sophisticated, intelligent, and secretive unfair securities trading, an insider's whistleblowing could play a important role. In these days, the issue of restoring investor confidence through the restoration of fairness in the capital market is the crucial social issue. I would like to find the social significance of this study in here.
