개인사업자로 하여금 법인으로의 전환을 적극적으로 유도하기 위해 조세특례제한법 제32조의 요건을 충족하는 경우 각종 세제혜택을 부여하고 있다. 이에 세무 실무상 개인기업의 필요에 의해 이월과세 등 과세특례 적용을 위한 법인전환은 상당히 빈번하게 이루어지고 있고 또한 이와 관련하여 많은 법률적 쟁점들이 존재한다. 많은 사건들에서 법인전환에 관한 여러 조세법적 쟁점들이 다투어지고 있으나 이와 관련한 문헌이나 연구들이 그리 많지 않아 법해석상 다툼이 있거나 판단 기준이 명확히 정립되지 않은 부분들이 다수 존재하여 납세자의 불확실성 또한 높다. 본고에서는 조세특례제한법 제32조 법인전환에 관한 과세특례 제도 일반에 관하여 살펴보고, 그중 몇 가지 생각해 볼만한 논의를 제시하며 이에 대한 필자의 의견을 덧붙이고자 한다.
먼저 첫 번째 쟁점은 종전 개인기업의 자산을 누락하거나 부채를 증대시키는 등으로 법인전환 직전에 사업장의 순자산가액을 축소시킨 후 법인전환한 경우 과세특례 적용 여부 및 그 한계에 관한 문제이다. 이에 관한 많은 사례에서는 전환법인의 자본금이 현물출자 대상이 된 순자산가액 이상이라면 사업장의 순자산 규모가 상당히 축소되더라도 과세특례 적용 대상이 된다고 보고 있다. 그러나 종전 사업장의 순자산가액에 포함할 자산과 부채의 범위를 판단하기에 앞서 사업의 동일성을 검토하여야 하고 법인전환 전후에 사업의 동일성이 훼손된다면 과세특례 대상이 되지 않는다고 봄이 타당하다. 이는 포괄적 사업양수도 방식뿐만 아니라 현물출자 방식으로 법인전환하는 경우에도 마찬가지이다. 비록 사업의 동일성이 조세특례제한법 제32조 소정의 요건으로 명시되어 있지는 않으나, 과세특례 대상이 되는 법인전환은 실질적으로 동일한 사업주가 사업의 운영형태만 바꾸는 것에 불과한 단순한 형식의 변화에 해당되는 조직재편일 것을 성질상 전제로 하고 있기 때문에 사업의 동일성은 과세특례 적용의 전제 요건으로 삼아야 한다.
두 번째 쟁점은 법인전환 과세특례 대상요건인 ‘사업용 고정자산’의 범위 및 판정기준에 관한 문제이다. 사업용 고정자산의 의미에 관하여 조세특례제한법에서는 ‘당해 사업에 직접 사용하는 유형 및 무형자산’이라 정의하면서 법인세법상 업무무관부동산을 그 범위에서 제외하고 있는데, 관련 규정을 체계적으로 해석할 경우 부동산인 사업용 고정자산의 경우에는 법인세법상 업무무관부동산의 판정기준을 그대로 적용하는 것이 합리적인 해석이라 할 것이다. 이는 법령에 의하여 사용이 금지되거나 제한된 부동산 등과 같이 직접 사용하지 못한 데에 부득이한 사유가 있는 부동산의 경우 유의미한 차이를 보이는데, 조세심판원은 부득이한 사유를 고려할 필요 없이 부동산을 직접 사용하지 않았다면 사업용 고정자산에 포함되지 않는다는 취지로 결정한 바 있다. 그러나 이와 달리 부동산을 직접 사용하지 못한 데에 정당한 사유가 있다면 법인세법상 업무무관부동산 판단 기준과 마찬가지로 과세특례 대상요건인 사업용 부동산의 범위에 포함된다고 해석함이 타당하고, 이러한 해석이 조세법률주의에서 파생된 엄격해석의 원칙에 위반되는 것도 아니다. 다만 과세특례 대상인 사업용 고정자산의 개념과 범위에 대하여 구체적이고 명시적인 입법은 필요하다고 생각된다.
세 번째 쟁점은 전환법인의 주식가치를 평가함에 있어서 법인전환 시 발생한 이월과세액을 전환법인의 부채에 반영하여 산정할 것인지 여부이다. 이와 관련하여 조세심판원에서도 서로 다른 취지의 결정을 한 바 있는 등 견해가 대립하여 왔는데, 현재는 비상장주식의 평가기준일이 전환법인의 설립일로부터 5년 이내의 사후관리 기간 내에 포함되어 있는 경우에는 이월과세 상당액의 납세의무 주체가 아직 전환법인으로 확정되어 있다고 보기 어렵다는 이유에서, 이월과세액은 부채에 포함되지 않는다고 보는 견해가 비교적 다수이다. 그러나 이와 달리 평가기준일이 5년의 사후관리 기간을 경과한 경우에는 이월과세액을 부채에 포함하여야 한다는 견해가 제시되고 있고, 조세심판원도 최근에 이와 같은 취지로 결정한 바 있다. 그러나 사후관리 기간이 경과하였다고 하여 이월과세액을 부채에 포함하여서는 아니 된다. 이는, 단지 사후관리 기간 경과만으로 사업용 고정자산이 실제 양도된 것은 아니어서 전환법인에 이월과세액 상당의 법인세를 납부하여야 할 의무가 성립되었다거나 확정되었다고 볼 수 없으며, 상속세 및 증여세법상 부채에 가산할 항목 어디에도 포함되어 있다고 보기 어렵기 때문이다.
한편 최근 부동산 경기 과열로 인하여, 사업용 고정자산의 범위에서 주택 등을 일괄하여 배제하고, 취득세 감면율을 ‘면제’에서 ‘75% 경감’으로 낮추며, 부동산 임대 및 공급업을 영위하는 법인을 취득세 경감 대상에서 일괄적으로 배제하는 내용의 입법들이 이루어졌는데, 이는 단순한 형식의 변화에 해당되는 조직재편이라는 법인전환 과세특례 규정의 성질과는 부합하지 않는 입법 태도로서, 최근의 위와 같은 입법 태도는 재검토되어야 한다.
In order to actively induce a private enterprise to convert into a corporation, various tax benefits are provided if the requirements of Article 32 of the Restriction of Special Taxation Act are met. Conversion into corporation of a private enterprise for the application of special taxation exceptions such as taxation carried forward is made quite frequently, and there are many legal issues in this regard. Accordingly, there are many tax cases in which issues related to incorporation of a private enterprise are being contested, but there are not enough related studies or references available to taxpayers or legal practitioners. Thus, this paper reviews the special taxation system in general under Article 32 of the Restriction of Special Taxation Act and presents the author’s opinions on some of the issues.
The first issue concerns the application of special taxation and restrictions thereon where a private enterprise is converted into a corporation right after reducing the net asset value of the business by omitting assets or increasing its liabilities. In many cases, if the capital of the converted corporation is greater than the value of the net assets subject to in-kind investment, even if the size of the net assets of the place of business is significantly reduced, special taxation is seen to be applicable. However, before determining the scope of assets and liabilities to be included in the net asset value of the former place of business, the identity of the business should be reviewed, and if the identity of the business is damaged before and after conversion to a corporation, viewing that such a case is not subject to special taxation is reasonable. This is likewise applicable in the case of conversion to a corporation through the in-kind investment method as well as the comprehensive business transfer method. Although the identity of the business is not stipulated as a requirement in Article 32 of the Restriction of Special Taxation Act, as the conversion to a corporation subject to special taxation actually presupposes a reorganization that corresponds to a mere change in form of business operation by the same business owner, the identity of the business should be regarded as a prerequisite for the application of special taxation.
The second issue concerns the scope of and criteria for determination of “fixed assets for business” under Article 32. The Restriction of Special Taxation Act defines “fixed assets for business use” as “tangible and intangible assets used directly for the business” and excludes real estate unrelated to business under the Corporate Tax Act from the above scope. When determining “fixed assets,” applying the judgment criteria for real estate unrelated to business under the Corporate Tax Act can be seen to be a reasonable interpretation. This shows a significant difference in the case of real estate which there is an unavoidable reason for not being able to directly use, such as real estate prohibited or restricted by law, etc. The Tax Tribunal has determined to the effect that real estate is not be included in fixed business assets unless it was directly used without considering unavoidable reasons. However, if there is a justifiable reason for not being able to use real estate directly, interpreting it as being included in the scope of business real estate subject to special taxation in common with the criteria for judging real estate unrelated to business under the Corporate Tax Act is reasonable. Such interpretation does not violate the doctrine of strict interpretation derived from tax legalism. However, a specific and explicit legislation on the concept and scope of fixed business assets subject to special taxation is deemed necessary.
The third issue is whether or not to reflect the tax carried forward at the time of incorporation of a private enterprise to the liabilities of the converted corporation when evaluating the stock value of the converted corporation. There have been different views and the Tax Tribunal has also made conflicting decisions regarding this issue. Currently, the majority view is that, if the valuation base date of unlisted stocks is included within the follow-up period within 5 years from the date of establishment of the converted corporation, the tax carried forward is not included in the liability. This is because it is difficult to see that the subject of the tax liability for the amount of carryover taxation has yet to be confirmed as a converted corporation. On the other hand, there is an opinion that, if the evaluation base date has passed the five-year follow-up period, the tax carried forward should be included in the liability, and the Tax Tribunal has recently decided as such. The tax carried forward, however, should not be included in the liability just because the follow-up period has elapsed. On the sole ground that the follow-up period has elapsed, the fixed business assets are not actually transferred, and thus the obligation to pay the corporate tax equivalent to the amount of tax carried forward to the converted corporation cannot be regarded as established or confirmed. This is also because it is not included in the items to be added to debts stipulated in the inheritance tax and gift tax laws.
Meanwhile, due to the recent overheating of the real estate market, legislation was enacted to collectively exclude housing from the scope of fixed assets for business, reduce the acquisition tax reduction rate from “exempt” to “75% reduction,” and exclude corporations engaged in the real estate rental and supply business from acquisition tax reduction. However, this is a legislative attitude that does not match the nature of the special taxation regulation for incorporation of a private enterprise, which is a mere change in form of the organization.
