회생절차개시결정이 있는 때에는 원칙적으로 회생담보권에 기한 임의경매를 신청할 수 없는데, 위 원칙에는 경매 신청·개시·진행이 가능한 예외가 있다.
그중 인가된 회생계획에 임의경매에 의한 담보물 처분 조항이 있는 경우 그 효력 여부에 관하여 부정설과 긍정설이 대립한다. 서울회생법원에서는 2018년경까지, 그 외의 법원에서는 보다 최근까지 회생계획에 임의경매에 의한 담보권 실행 조항을 둔 사례가 발견되고 있다. 회생계획의 본질 및 채무자의 회생 가능성 등을 고려하면 위와 같은 회생계획 조항의 유효성을 인정하는 것이 타당하다. 입법론으로는 채무자의 회생을 위하여 다양한 방안을 검토할 수 있도록 채무자 회생 및 파산에 관한 법률에 회생절차 계속 중의 채무자의 영업에 필수적이지 않은 재산에 대한 경매 신청 가능성을 보다 광범위하게 규정할 필요가 있다.
회생절차개시결정 후 회생절차 종료 전 임의경매 절차를 통하여 담보부동산이 매각된 경우 매각대금의 수령권자에 관하여 견해가 대립한다. 법원에서는 집행법원이 매각대금을 회생담보권자에게 직접 배당하고 지급하는 실무 처리 방식을 취하고 있는 것으로 보인다. 현행법 해석상으로는 법원의 실무 처리 방식이 타당하나, 장기적으로는 채무자 회생 및 파산에 관한 법률 개정을 통하여 집행법원이 매각대금 전액을 회생채무자의 관리인에게 교부하여 회생법원의 감독하에 회생계획 수행에 사용하도록 함이 바람직하다. 이와 관련하여 일본 회사갱생법(会社更生法)은 갱생절차개시결정 이후 법원의 결정에 의하여 강제집행 등이 속행되거나 담보권 실행 금지가 해제될 경우 배당 실시 여부, 배당에 충당할 금전의 교부 상대방 등에 관하여 구체적인 법 규정을 두고 있는바, 우리 채무자 회생 및 파산에 관한 법률 개정 시에 위 일본 회사갱생법 규정을 참고할 수 있을 것이다.
회생계획인가결정 후 회생담보권에 기하여 진행된 임의경매 절차의 배당과 관련하여 실무상 문제 된 쟁점은 회생담보권 범위 관련 쟁점과 담보권의 우선변제권 관련 쟁점으로 나누어 볼 수 있다. 그중 회생절차개시결정 후의 이자·지연손해금도 회생담보권에 포함되는지 여부에 관하여, 회생계획인가결정으로 실체적으로 변경된 회생담보권에는 회생절차개시결정 후의 이자·지연손해금도 포함될 수 있다는 것이 법원의 확립된 견해이고, 이는 채무자 회생 및 파산에 관한 법률 체계상 타당하다. 법원은 인가 후 임의경매 절차의 배당 단계 쟁점에 관하여 회생계획을 해석할 때 사적자치의 범위 내에서 회생담보권의 권리 변경 등을 자유롭게 정할 수 있다고 보는 한편, 회생계획에 명확한 근거가 없이는 회생담보권 범위를 축소시키지 않으려는 경향을 보인다. 위와 같은 경향은 회생계획 및 이에 대한 회생담보권자의 동의 여부의 의사표시의 성질, 회생절차의 안정성 등을 고려할 때 타당하다고 볼 수 있다.Generally, where there is a decision to start the rehabilitation proceedings, it is not possible to apply for an auction based on the secured rehabilitation claim. However, there are exceptions in which an auction can be applied for, started, and proceeded.
Among the exceptions, the validity of a “disposal of collateral by auction” clause in the rehabilitation plan is debated. The Seoul Bankruptcy Court has been using “disposal of collateral by auction” clauses in the rehabilitation plans until 2018, whereas other courts have been using them until more recently. Considering the nature of the rehabilitation plan and the possibility of debtor’s rehabilitation, it is appropriate to recognize the validity of a “disposal of collateral by auction” clause. There is a need to stipulate a wider range of possibilities of applying for an auction of property that is not essential to the debtor’s business in the Debtor Rehabilitation and Bankruptcy Act to help the debtor’s rehabilitation.
If a collateralized real estate is sold through an auction between the start and the end of the rehabilitation proceedings, there is a debate regarding the beneficiary of the payment of the price. Korean auction courts seem to distribute the payment directly to the secured claim holders in practice. However, considering the purpose and provisions of the Debtor Rehabilitation and Bankruptcy Act, the auction court must deliver the entire sale price to the rehabilitation trustee. It would be appropriate for the Debtor Rehabilitation and Bankruptcy Act to clearly stipulate the method of disposition of dividends generated in the abovementioned auction proceedings like the Japanese Company Rehabilitation Law.
If the collateral is sold in an auction after the approval of the rehabilitation plan, the legal issues related to the scope of a rehabilitation security interest and to the payment priority order arise in the distribution stage. Korean courts have decided that interest and damages for delay after the start of the rehabilitation proceedings can be included in the secured claim in the rehabilitation plan. Such decisions are appropriate under the Debtor Rehabilitation and Bankruptcy Act. With respect to the dividend stage issues in the security auction procedure, Korean courts tend to find it possible for a rehabilitation plan to determine the scope of secured rehabilitation rights freely within the private autonomy. Also, the courts tend not to reduce the range of secured rehabilitation rights unless there is a clear basis in the rehabilitation plan. Such tendencies are appropriate considering the nature of a rehabilitation plan and a secured creditor’s consent to it, the stability of the recovery procedure, etc.
