상표권과 관련된 분쟁은 종전에는 민사상 상표권 침해금지가처분, 등록상표 사용에 대한 손해배상청구의 문제에 국한되었으나, 최근에는 형사상 상표의 출원·등록 및 상표권 사용료 수취에 대한 횡령·배임죄의 성부까지도 쟁점이 된다. 대법원 판례는 민사 및 형사 판결 분야에서는 상당한 법리를 축적하였지만, 상표권의 양수도 및 그 사용료 수취와 관련된 부당행위계산 부인규정의 적용이라는 조세법적 쟁점에 대해서는 아직 구체적 선례가 마련되어 있지 아니하다.
먼저, ① 침해금지 및 손해배상청구권의 범위가 문제 되었던 민사 판결들에서는, 상표권이 다른 지식재산권(특허권 등)과 차이가 있다는 점에 주목하여 권리의 성부 및 범위를 판단함에 있어서 상표의 출원 및 등록 경위, 상표권 행사가 이루어지는 구체적인 제반 사정들을 고려한다. 다음으로, ② 업무상배임죄 또는 횡령죄의 성부가 문제 된 형사 판결들에서는, 실질적 상표권자가 누구인지의 선결문제를 결정한 이후, 그에 기초하여 상표권의 양수도 및 상표권 수수료의 수수에 대한 배임죄 등의 고의의 존부를 판단한다. 마지막으로, ③ 권리남용의 항변 및 상표 사용의사의 요부가 문제 된 지식재산 판결들에서는 상표법상 등록주의가 가진 단점 및 문제점들을 극복하기 위한 적극적인 합목적적 해석론이 전개되었다.
조세법 분야에서도 이와 같은 인접 분야 선행 판례들과 조화를 이루는 새로운 판단기준의 정립이 필요하다. 상표권 사용료의 지급 및 수취와 관련된 조세법률관계에 부당행위계산 부인규정을 적용하는 이론적인 근거는 실질과세원칙에 기반한다. 따라서 상표법에 따른 등록주의의 문제점을 보완하기 위하여 조세법적으로도 실질적 요소들이 충분히 고려되어야 할 것이다. 상표법과 조세법은 입법 취지 및 규범의 보호목적이 다르다는 측면에서도 상표법상 등록주의 원칙이 세법상 일관되어 적용될 수는 없다. 특히, 특허권이나 실용신안권 등이 최초 발명가(창작자)를 따져 등록 가부를 결정하는 반면, 상표는 최초의 고안자가 누구인지와 무관하게 상표 사용의사만 존재하면 등록이 가능하다는 점도 고려되어야 한다.
이를 반영하여 OECD의 이전가격 과세지침에서는 2단계 판단기준(① 상표의 법적 소유권 판단 → ② 사용료의 적정성 판단)을 채택하고 있다. 따라서 우리나라 세법의 해석론으로도 ㉠ 상표권 사용료와 관련된 쟁점들을 해결할 때에도, 상표원부상의 등록명의, 상표 사용계약의 내용, 상표의 개발 및 제작 과정, 상표에 화체된 신용(명성)의 귀속자, 상표의 등록 및 출원 경위를 파악하여 상표권의 세법상 귀속(“법적 소유권”)을 가린 뒤, ㉡ 주요 기능의 수행 및 통제, 자산의 사용 주체, 위험의 인수 여부 등을 따져 상표권 사용료의 적정성(“경제적 소유권”)을 판단하는 단계적(2단계) 판단기준의 정립이 필요하다.In the past, disputes related to trademark rights were limited to trademark infringement injunctions and monetary remedies against the infringement, which were classified as civil cases. However, recently, it is also controversial whether embezzlement or breach of trust is established around application and registration of trademark and receipt of trademark right royalty. Though Supreme Court cases have made significant precedents in civil, criminal and intellectual property cases of trademark right, there are no specific leading cases for tax issues yet.
First of all, in civil judgments, where the prohibition of infringement and the scope of claims against the infringement were issues, Supreme Court focused on the fact that trademark rights are quite different from other intellectual property rights such as patent rights and considered specific circumstances like process of application and registration of trademark in judging the establishment and the scope of claims. Secondly, in criminal cases, Supreme Court determines ‘the actual trademark owner’, and then decides whether the crime of embezzlement and breach of trust is commit ed intentionally. Thirdly, in intellectual property decisions, plea against abuse of right and intention of using trademarks are usually at issue in a lawsuit. Supreme Court has a tendency to overcome the shortcomings of registration-based system of trademark with a purposive analysis theory.
In tax cases, it is necessary to establish a new judgment standard that makes harmony with Supreme Court’s precedent judgments above. The theoretical basis for applying disaffirmation of calculation by wrongful acts is substance-over-form principle(so called “actual taxation”). Therefore, in order to supplement the problems of registration-based system by trademark law, substantial factors should be sufficiently considered in tax cases around trademark right royalty. Since the legislative purpose between trademark law and tax law is quite different, registration principle in the trademark law cannot be applied consistently in tax cases. While patent law determines whether or not to register a patent based on the inventor, a trademark can be registered as long as there is an intention to use it regardless of whom the original inventor is.
Reflecting the characteristic of trademark right above, OECD transfer pricing guidelines adopt the two-stage doctrine(① judgment of legal ownership of trademark → ② judgment of appropriate level of royalties). Therefore, it is necessary to establish the following criteria for the interpretation of tax law regarding trademark right royalty. Firstly, ‘the actual trademark owner’ should be determined based on the registered trademark owner of the trademark, the contents of the contract between trademark owner and user, the process of creation and development of the trademark, the credit which is embodied in the trademark, and the process of application and registration of the trademark. Secondly, ‘the appropriateness of the trademark right royalty’ should be judged by performance and control of functions, use of assets and assumption of risks regarding the trademark. The former can be recognized as determination of legal ownership of the trademark, and the latter can be described as judgment of economic ownership of the trademark.
