2022. 10. 미국 델라웨어주에서 기업이 이해관계자들의 이익과 사회적 요구를 고려하지 않은 것을 이유로 소액주주에 의한 주주대표소송이 제기되었다. 소장에는 “메타가 내부자와 지배주주에게 이익이 되는 투자에 집중하는 것을 자제하고 더 광범위한 소규모 투자자들의 이익과 사회적 요구를 고려해야 한다.”라고 적혀 있었다.
최근 우리나라에서는 대법원 2021. 11. 11. 선고 2017다222368 판결과 대법원 2022. 5. 12. 선고 2021다279347 판결을 통해 이사에게 회사의 경영과 관련된 위험을 사전에 발견하고 통제하기 위한 내부통제시스템을 구축하는 의무를 부담하도록 하는 취지의 판결을 내렸다. 내부통제시스템의 대상이 되는 위험이 어디까지인지에 따라 이사가 부담하는 의무가 가중될 수도 있다. 특히, ESG 위험이 내부통제시스템에 포함된다면 이사의 내부통제시스템 구축의무는 매우 광범위하게 확대될 것이다. 또한, 이사가 누구의 이익을 중심으로 경영판단을 내려야 하는지와 관련해서도 내부통제시스템의 범위가 확대될 수도 있을 것이다. 현행 상법에 따르면 이사는 법인이익계좌기준(CAS)에 따라 회사의 손해가 발생하지 않으면 의무를 다한 것으로 보기 때문에 미국 메타 소송과 같이 주주 또는 이해관계자의 이익을 고려하지 않은 것이 문제가 되지는 않을 것이다. 하지만 해외에서는 이사가 주주와 이해관계자의 이익을 고려해야 한다는 입법례가 존재하고, 우리나라에서도 이사가 주주이익포함기준(SIS)에 따라 주주의 비례적 이익까지 고려해야 한다는 상법 개정안이 발의된 바 있다.
이 논문에서는 대법원 판례에서 제시한 이사의 내부통제시스템 구축의무에 대해서 간략히 살펴보고, 최근 ESG 경영 흐름과 미국의 메타 소송 등에서 주장되고 있는 이해관계자의 이익과 사회적 요구라는 ESG 관련 요소들도 내부통제시스템에 포함해야 하는지 등 ESG 위험과 이사의 내부통제시스템 구축의무와의 관계를 검토해 보고자 한다. 이를 위해서 먼저 영국, 프랑스, 미국 등의 해외 입법례에 관해서도 비교법적으로 검토하여 시사점을 도출하였다.
In October 2022, a minority shareholders in Delaware, USA, initiated shareholder derivative suit against META, alleging that the company had prioritized investments that would favor internal stakeholders and controlling shareholders, neglecting the interests of a wider range of small investors and stakeholders.
In Korea, the Supreme Court made two rulings (2017da222368 and 2021da279347) on November 11, 2021 and May 12, 2022, respectively, establishing that directors have an obligation to establish an internal control system to identify and mitigate risks that may arise in connection with the management of the company.
Depending on the scope of the risks governed by the internal control system, the obligations of the directors may be amplified. Notably, if the internal control system encompasses ESG risks, the director's obligation to establish an internal control system will be significantly expanded.
Additionally, the magnitude of the internal control system may be broadened depending on whose interests the directors should take into account when making management decisions. As per the current commercial law, a director will be regarded as having fulfilled all his/her duties unless the company experiences any damages in accordance with the Corporate Account Standard(CAS). Consequently, it is not problematic that the interests of minority shareholders or stakeholders are not taken into consideration in the current commercial law, as in the Meta-lawsuit in the US.
However, there are legal precedents in other countries that require directors to take into account the interests of shareholders and stakeholders. In Korea, there is a revision bill to the Commercial Act which stipulates that directors must consider the proportional profits of shareholders according to the Shareholder Interest Inclusion Standard(SIS).
This legal dissertation presents a concise analysis of the directors' obligation to establish an internal control mechanism, referencing relevant Supreme Court cases. The inquiry scrutinizes whether ESG factors, including stakeholder needs and societal expectations, should be integrated into the internal control system. It additionally investigates the interrelationship between ESG risks and directors' duty to implement an internal control system. Furthermore, the paper reviews foreign legislative practices in the United Kingdom, France, and the United States to deduce conclusions.
