최근에 제정된 「행정기본법」 제27조에 공법상 계약 체결의 일반적인 근거 규정이 들어갔고 관련된 분쟁도 늘어나고 있는 추세이나, 공법상 계약의 구체적 법리에 관해서는 이론적으로나 실무적으로 아직 정착이 되었다고 보기 힘든 상황이다. 이러한 상황에서 총 6번의 재판이 이루어진 국가연구개발(R&D)협약 사건은 공법상 계약의 구체적인 법리를 고찰할 수 있게 해준다는 점에서 검토의 필요성이 있다.
이 사건에서 원고는 처음에 민사소송(정산금청구소송)을 제기하였는데, 제1심(서울중앙지방법원), 항소심(서울고등법원)에서는 위 국가연구개발협약을 ‘사법상 계약’으로 보면서 원고의 정산금청구도 인정하였다. 그런데 상고심(대법원)에서는 위 협약을 ‘공법상 계약’으로 보면서 원심판결을 파기하고 사건을 서울행정법원에 이송하였다. 그 이후에 ‘공법상 계약’임을 전제로 진행된 제1심(서울행정법원)에서는 원고의 정산금청구를 부인하였고, 이러한 결론은 항소심(서울고등법원)과 상고심(대법원)에서 그대로 유지되었다.
이 글에서는 파기환송 후 제1심판결(서울행정법원 2018. 8. 17. 선고 2017구합86125 판결, 이하 ‘대상판결’이라 한다)이 ‘공법상 계약’의 법리를 제대로 반영하였는지를 살펴보았다. 대상판결의 판시사항은 크게 네 가지로 요약될 수 있는데, 첫째 「국가를 당사자로 하는 계약에 관한 법률」(이하 ‘국가계약법’이라 한다)은 원칙적으로 공법상 계약에 적용되지 않는다는 것이고, 둘째 공법상 계약조항(이 사건 협약 특수조건 제9조 제1항)상의 피고의 ‘승인’은 계약변경을 위한 필수적인 절차로 보아야 하며 묵시적인 승인이 이루어진 것으로도 보기 힘들고, 셋째 공법상 계약조항(이 사건 협약 특수조건 제9조 제1항)이 구 국가를 당사자로 하는 계약에 관한 법률 시행령(2020. 4. 7. 대통령령 제30597호로 개정되기 전의 것) 제4조(현 국가계약법 제5조 제3항)에 위반한 부당특약에 해당한다고 보기 힘들고, 넷째 초과비용 지급을 거절하는 것이 신뢰보호의 원칙 또는 비례원칙 위반에 해당한다고 보기 힘들다는 것이다.
그러나 이러한 대상판결은 ‘공법상 계약’의 법리를 제대로 반영했다고 보기 힘들다. 첫째, 우리나라 국가계약법의 적용 범위가 외국법에 비해 넓은 것을 고려할 때 공법상 계약을 국가계약법의 적용 대상에서 원칙적으로 배제할 이유는 없으며, 둘째 국가계약법 제19조의 계약대금조정규정은 강행규정으로 보아야 하는데, 이 법률조항과 조화롭게 해석할 경우 이 사건 협약 특수조건 제9조 제1항은 추가비용청구권은 인정하되 그 객관적인 금액의 확정을 위해 승인절차를 둔 것으로 이해해야 하며, 셋째 이 사건 협약 특수조건 제9조 제1항을 “피고의 승인이 없을 경우에는 어떠한 경우에도 초과비용청구가 불가능하다는 의미”로 이해하는 것은 상당성원칙에 어긋나는 것으로서 부당특약으로 보아야 하고, 넷째 계약체결 이후의 정황들을 고려하면 초과비용 지급을 거절하는 것이 신뢰보호원칙이나 비례원칙 위반에 해당한다고 보아야 한다.「General Act on Public Administration」, which was enacted recently, provides ‘contract under public law’ in article 27, and the number of disputes on ‘contract under public law’ is on the rise. However, the theory and practice of this type of contract is not established yet. In this context, State Research & Development (R&D) agreement case which produced 6 decisions, needs to be examined in the context of ‘contract under public law’ regime.
In this case, the plaintiff filed a civil lawsuit(payment claim) initially, first trial court(Seoul Central District Court) and appeals court(Seoul High Court) considered this R&D agreement as ‘contract under private law’ and made decion in favor of the plaintiff. However, Supreme Court decided that this agreement is a ‘contract under public law’ and returned this case to first trial court(Seoul Administrative Court). After that, first trial court(Seoul Administrative Court) rejected the plaintiff’s claim, and this result was confirmed both by appeals court(Seoul High Court) and the Supreme Court.
Among theses 6 decisions, this paper reviews the Seoul Administrative Court’ decision(Seoul Administrative Court 2018. 8. 17. 2017Gyhap86125). The essence of this decision is as follows. First, 「Act on the Contracts in which the State is the Party」(State Contract Act) does not apply to ‘contract under public law’, Second, ‘approval’ in Special Contract Clause 9(1) of this R&D agreement, should be deemed as a must-procedure for change of contract, and implicit approval cannot be acknowledged, third, Special Contract Clause 9(1) of this R&D agreement is not ‘unfair special clause’ in Decree of State Contract Act (before revision) Article 4[ current State Contract Act Article 5(3)], fourth, rejection of the payment does not violated principle of legitimate expectation or principle of proportionality.
However, decision of Seoul Administrative Court does not reflect the ‘contract under public law’ regime. First, as Korean State Contract Act deals with broader contract types in comparison with other jurisdictions, there is no ground that ‘contract under public law’ is exempted from application of State Contract Act in principle. Second, State Contract Act Article 19, which provides change of payment, should be deemed as a mandatory provision, and this R&D agreement should be interpreted in compatible with State Contract Act Article 19. In this case, ‘approval’ in Special Contract Clause 9(1) of this R&D agreement should be interpreted that payment claim itself can be accepted but to confirm the exact amount, approval is necessary. Third, if Special Contract Clause 9(1) is interpreted as “in any case payment is not allowed when the Defendant refuses approval”, this clause should be deemed as ‘unfair special contract clause’ because this clause violated the principle of fairness. Fourth, when considering various context after conclusion of R&D agreement, rejection of payment should be deemed as violation of both principle of legitimate expectation or principle of proportionality.
