법률은 기술을 앞지르기 어렵다. 법률은 기술의 발전으로 새롭게 발생한 현상에 관한 존재의 근거를 제공하고, 규제의 공백을 메우기 위하여 열심히 기술을 따라갈 뿐이다. 토큰 증권의 혁신성은 금융회사 중심의 전자증권 제도하에서 발행하기 어려웠던 다양한 권리를 증권화하고, 이러한 증권들을 디지털화하여 보다 편리하게 거래할 수 있도록 한다. 조각투자 상품을 통한 자산유동화의 가장 큰 특징은 자산유동화와 함께 개인들이 그에 따른 권리를 디지털 거래 플랫폼에서 소액의 자금으로 취득할 수 있다는 점이다. 조각투자의 효용성을 극대화하기 위해서는 디지털 거래 플랫폼을 통한 지분거래가 필수적이다. 그렇다면 조각투자 상품의 법적 구조는 위와 같은 특징을 잘 반영하여 설계하여야 한다. 자산을 유동화하는 방법으로 투자상품을 개발함에 있어서 핵심적으로 고려하여야 하는 요소는, 유동화의 대상이 되는 상품의 권리관계가 법적 분쟁의 대상이 되지 아니하도록 하여야 한다는 점이다. 그런데 초기 조각투자 상품은 이와 같은 자산 유동화의 핵심 요소를 제대로 반영하지 아니하고 그 법적 구조 자체를 매우 불명확하게 설정하는 모습을 보였다. 조각투자 상품을 만드는 회사들은 그 상품이 자본시장법상 금융투자상품으로 인정되는 것을 원하지 아니하여 의도적으로 증권성을 부정하는 모습을 보이기도 하였다. 회사의 그와 같은 의도는 창의적인 내용을 가진 조각투자 상품을 개발하는데 큰 역할을 할 수 있었으나, 투자자 보호에 있어서는 생각하지 못한 공백을 만들 수 있다는 점에서 한계를 가지고 있었다. 이러한 한계를 가장 잘 풀어주는 법적 도구가 신탁이다. 신탁을 이용한 자산유동화는 신탁의 재산변환기능으로부터 이론적 근거를 찾을 수 있다. 재산에 관한 이익향유권능은 신탁을 통하여 수익권으로 전환되고, 그 수익권은 자본조달 등 금융의 수단으로 활용된다. 이에 따라 재산적 가치가 있는 물건, 권리 등은 신탁을 통하여 자본조달의 수단이 될 수 있다. 수익증권 발행신탁은 실물자산을 토큰 증권화함에 있어서 그 법적 구조를 가장 안정적으로 설계할 수 있도록 하는 유용한 수단이 될 수 있다. 본고에서는 조각투자 상품이 토큰 증권으로 제도화 되는 과정을 시간의 순서대로 검토하면서 해당 증권의 규제체계 정비에 있어서 신탁이 수행한 기능을 확인하고 그 법적 쟁점을 구체적으로 검토하고자 한다.
The rapid pace of technological advancements often poses challenges for the legal system to keep up. Laws typically lag behind technological developments and need to adapt to address new phenomena and fill regulatory gaps. Token securities, as an innovation, aim to securitize various rights that are traditionally difficult to issue within the conventional financial system. By digitizing these securities, they become more convenient to trade. One of the key advantages of asset securitization through fractional investment products is that individuals can acquire corresponding rights with small amounts of funds on digital trading platforms. To maximize the effectiveness of fractional investments, equity transactions through digital trading platforms are essential. Therefore, the legal structure of fractional investment products should be designed to reflect these features. An important factor in developing investment products to securitize assets is ensuring that the rights associated with the securitized products are not subject to legal disputes. However, early fractional investment products did not adequately consider these key elements of asset securitization, resulting in an unclear legal structure. In some cases, companies intentionally avoided recognizing these products as financial investment products under existing regulatory frameworks, which led to unforeseen gaps in investor protection. To address these limitations, the legal tool that best suits the situation is the trust. Trusts offer a rationale for securitizing assets by transforming property. Through a trust, the beneficial interest in property is converted into a beneficial interest that can be utilized for financing purposes, such as raising capital. Consequently, objects and rights with property value can become a means of raising capital through trusts. In the context of securitizing real assets into tokens, a beneficial ownership trust can serve as a useful tool for designing a stable legal structure. This article examines the chronological development of institutionalizing fractional investment products into token securities, highlighting the role of trusts in shaping the regulatory framework for such securities. It also delves into the legal issues associated with this development, emphasizing the importance of addressing investor protection concerns.
