「가상자산 이용자 보호 등에 관한 법률」(이하 ‘가상자산이용자보호법’이라 한다)은 가상자산 관련 이용자 보호, 불공정거래 규제, 가상자산사업자에 대한 금융감독당국의 감독 및 제재권한 등을 규정하고 있다. 또한, 동 법은 향후 가상자산 관련 공시, 업권 등을 규율하는 법안의 기초가 될 것이라는 점에서 큰 의미를 갖는다.
가상자산이용자보호법은 가상의 형태를 가진 자산 중 ① 자본시장법, ② 전자금융거래법 등 그 외의 금융관련 법령 등의 적용을 받지 않고, ③ 화폐․재화․용역 등으로 교환될 수 없는 전자적 증표로서 발행인이 사용처와 그 용도를 제한한 것 또는 게임아이템 등을 제외한 자산만을 가상자산으로 정의하여 규제하고 있다. 동 법은 가상자산에 대한 불공정거래행위를 규제하고 있으며, 그러한 행위의 효과가 국내에 미치는 경우에는 국내 및 해외를 구별하지 않고 적용범위로 포함하고 있다. 또한, 가상자산사업자에 대하여 이용자 보호 및 불공정거래행위 감시의무를 부과하고 있다. 다만, 가상자산이용자보호법은 NFT, 해외 가상자산사업자 및 탈중앙화 플랫폼 등에 대한 규제 적용 여부에 대하여 정하고 있지 아니하며, 또한 불공정거래행위의 규제범위에 대하여 한정하고 있지 않으므로, 가상자산이용자보호법의 2차 개정시 이와 같은 부분이 고려될 필요가 있다.
가상자산이용자보호법은 가상자산 거래질서의 공정성을 저해하고, 투자자의 신뢰를 크게 훼손하는 불공정거래행위를 크게 미공개중요정보 이용행위, 시세조종행위 및 부정거래행위 등으로 규정하고, 가상자산사업자에 대하여 본인 및 특수관계인이 발행한 가상자산의 거래금지, 이상거래에 대한 감시 등의 의무를 부과하고 있다. 가상자산 관련 불공정거래행위를 행한 자에 대하여 형사처벌, 민사상 손해배상 및 행정적 제재 등이 부과될 수 있다. 다만, 미공개중요정보 이용금지 규제와 관련하여 내부자의 범위, 시세조종과 관련하여 안정조작, 시장조성자 등에 대한 예외의 필요성, 향후 현선연계행위 등에 대한 규제 공백, 새로운 형태의 불공정거래행위에 대하여 부정거래행위라는 포괄규정의 적용 등의 문제는 향후 가상자산이용자보호법 및 시행령의 개정 과정에서 해결되어야 할 것이다.
가상자산시장에서 새롭게 나타날 수 있는 불공정거래행위로 가상자산의 특성을 통해 새롭게 나타나는 미공개중요정보를 이용한 행위, 가상자산에 프로그램 등을 숨기는 러그풀, 가상자산의 가격결정 시스템을 공격하는 행위, 가장매매 및 펌프 앤 덤프 등 다양한 사례가 나타나고 있다. 가상자산의 탈중앙화적 성질은 가상자산시장에도 나타나고 있는 바, 탈중앙화 가상자산시장의 경우 가상자산이용자보호법에 따른 이상거래 감시 및 조치의무 등이 적절하게 행사되고 있는지 여부 등을 확인할 수 없다는 문제가 있으며, 영세한 가상자산 사업자들의 경우 불공정거래행위 예방조치가 부실하게 진행될 우려가 있다.
가상자산이용자보호법 1단계가 시행될 2024년 7월까지, 미공개중요정보 금지 행위 관련 적용 대상자를 규정하는 대통령령의 제정, 시세조종 관련 시장조성 및 안정조작 등 예외의 규정, 탈중앙화된 가상자산 사업자 및 영세한 가상자산 사업자, 해외의 가상자산사업자 등에 대한 규제의 적용 여부 등에 대하여 방향을 명확하게 하여 가상자산사업자 및 이용자 등에 혼란을 발생하지 않도록 노력하여야 한다.
The Law for the Protection of Virtual Asset Users (hereinafter referred to as ‘the Act’) in South Korea establishes regulations for the protection of virtual asset users, unfair trading practices, and the supervisory and sanctioning powers of financial regulatory authorities over virtual asset operators. It also lays the groundwork for future legislation governing disclosures and sectors related to virtual assets.
The Act defines virtual assets as those not covered by other financial laws like the Capital Market Act or Electronic Financial Transactions Act, excluding electronic tokens with usage restricted by the issuer and non-exchangeable assets like certain game items. It regulates unfair trading practices in virtual assets and applies these regulations regardless of whether the effects are domestic or international. The Act imposes duties on virtual asset operators for user protection and monitoring of unfair trading practices. However, it does not specify regulations for NFTs, foreign virtual asset operators, or decentralized platforms, and the Act's coverage of unfair trading practices is overly broad, necessitating a future narrowing of this scope to more effectively target specific behaviors in the virtual asset market.
The Act delineates measures against unfair trading practices that impede the fairness of virtual asset transactions and significantly damage investor trust. These practices are broadly categorized into the use of material nonpublic information, market manipulation, and deceptive trading activities. The Act imposes obligations on virtual asset operators, including the prohibition of trading virtual assets issued by themselves or their special affiliates and the duty to monitor abnormal transactions. Individuals who engage in unfair virtual asset trading practices can be subject to criminal prosecution, civil liability for damages, and administrative sanctions. However, issues such as defining the scope of insiders in relation to the prohibition of the use of material nonpublic Information, the necessity for exceptions in market manipulation like market stabilization and market makers, regulatory gaps in spot-futures linked price manipulation, and the application of a comprehensive rule against new forms of unfair trading practices are areas that need resolution in the future amendments of the Act and its implementing regulations.
In the virtual asset market, various new forms of unfair trading practices are emerging, including the use of material nonpublic Information unique to virtual assets, rug pulls involving hidden programs in virtual assets, attacks on virtual asset pricing systems, and fraudulent trading like wash trading and pump-and-dump schemes. The decentralized nature of virtual assets poses challenges in monitoring and enforcing compliance with the Act's provisions on abnormal transaction surveillance and measures, especially in decentralized virtual asset markets. This raises concerns that the obligations may not be adequately fulfilled, and there is a risk that small-scale virtual asset operators may inadequately implement measures to prevent unfair trading practices.
The decentralized nature of virtual assets presents challenges in monitoring and enforcing regulations. By July 2024, when the first phase of the Act is implemented, it is crucial to clarify the scope of entities subject to regulations on the use of material nonpublic information, exceptions to market manipulation, and the application of regulations to decentralized and small-scale virtual asset operators, as well as foreign operators, to prevent confusion among stakeholders.
