특정금융거래정보의 보고 및 이용 등에 관한 법률(이하 ‘특정금융정보법’)에 가상자산사업자 신고제가 도입되었고 이로써 가상자산에 대한 규제가 시작되었다. 그리고 2024. 7. 19.부터는 가상자산 이용자 보호 및 불공정거래행위 금지를 규정하고 있는 가상자산 이용자 보호 등에 관한 법률(이하 ‘가상자산이용자보호법’)이 시행될 예정이다. 가상자산이용자보호법의 불공정거래행위 규제체계는 자본시장법상의 규제체계와 유사하게 만들어졌다. 그런데 가상자산의 경우 발행인을 특정할 수 없는 경우가 있고 내재가치를 측정하는 것이 어렵다는 점에서 자본시장과 차이점이 있다. 또한 가상자산시장의 경우 주식시장과는 다른 특성 즉, 국내에 여러 개의 가상자산시장이 존재한다는 점, 국내 가상자산거래소에서 거래되는 가상자산이 해외의 가상자산거래소에서도 거래된다는 점 등의 특수한 사정이 존재한다. 이러한 배경 하에서 해외 가상자산 불공정거래행위 규제를 살펴본다. 우선, 미국에서는 가상자산에 대하여 폭넓게 증권규제를 적용하고 있다. 일본의 경우에는 가상자산을 대상으로 하는 시세조종 및 부정거래행위를 금지하고 있으나 가상자산의 발행자를 특정하기 어렵다는 점 등을 고려하여 미공개중요정보 이용행위에 대한 규제는 도입하지 않고 있다. 유럽연합(EU)는 암호자산시장에 관한 규칙(Markets In Crypto Asset Regulation, 이하 ‘MICAR’)을 통해 불공정거래행위를 금지하고 있다. 이처럼 세계 각국에서 제도화가 진행 중이기는 하나 가상자산시장과 가상자산산업 전반에 대해 국제적으로 합의된 기준이나 규율체계는 부재한 상황이다. 한편 우리나라의 경우 가상자산이용자보호법 제10조에서 불공정거래행위를 규제하고 있고, 미공개중요정보 이용행위, 시세조종행위, 부정거래행위, 자기발행 가상자산 거래 금지 및 입출금 차단 금지 등을 규정하고 있다. 미공개중요정보 이용행위 및 시세조종행위, 그리고 부정거래행위의 경우 기본적으로 자본시장법상 불공정거래행위 금지규정과 매우 유사하게 제정되었다. 그런데 가상자산시장에서 발행인의 범위를 특정하기 어렵다는 점, 내부정보의 범위를 정하기 어렵다는 점, 부정거래행위에서의 중요사항의 범위를 확정하기 어렵다는 점 등을 고려할 때 법 적용상의 어려움이 예상되는 측면이 있다. 따라서 향후 2단계 입법이 될 경우에는 현재 가상자산이용자보호법의 규제체계에 더하여 불공정거래행위와 관련된 시장 범위의 확정 및 미공개중요정보 이용행위에서의 중요정보 범위의 명확화, 시세조종행위에서의 ‘시세’에 대한 정의규정 추가, 부정거래행위에서의 ‘중요사항’의 명확화 등이 필요해 보인다. 그리고 불공정거래행위 규제체계와 함께 연동되어 작동할 수 있는 발행규제체계의 도입 역시 필요할 것이다. 나아가 가상자산시장의 경우 국내 시장과 해외 시장을 분리해서 생각할 수 없으므로 탈중앙화거래소나 해외 시장에서의 거래를 규제할 필요성도 분명 존재한다. 다만 이를 위해서는 해외 시장에서의 불공정거래행위가 국내 시장에 미치는 영향을 정확하게 판단하고 해외 시장에서 이루어지는 불공정거래행위에 대한 감시체계를 구축하는 노력도 필요할 것이다.
The Act on the Reporting and Use of Specified Financial Transaction Information (the “Specified Financial Information Act”) marked the beginning of virtual asset regulation by introducing a reporting system for virtual asset operators, and the Act on the Protection of Virtual Asset Users (the “Virtual Asset User Protection Act”), which provides for the protection of virtual asset users and prohibits unfair trade practices, is scheduled to take effect on July 19, 2024. The unfair trade practice regulation system in this act is similar to the regulatory system under the Capital Market Act. However, the difference between the capital market and the virtual asset market is that the issuer of a virtual asset may not be identified and it is difficult to measure its intrinsic value. In addition, the virtual asset market has different characteristics from the stock market, such as the existence of multiple virtual asset markets in Korea and the fact that virtual assets traded on domestic virtual asset exchanges are also traded on overseas virtual asset exchanges. It needs to take a look at the regulation of unfair trading in virtual assets overseas. First of all, the United States applies securities regulations to virtual assets. While Japan prohibits market manipulation and unfair trading for virtual assets, it does not regulate the use of material nonpublic Information, because it is difficult to identify the issuer of virtual assets. The European Union (EU) prohibits unfair trading through the Markets In Crypto Asset Regulation (MICAR). Despite these institutionalization efforts around the world, there is still no internationally agreed upon standard or regulatory framework for the virtual asset market and the virtual asset industry as a whole. On the other hand, in Korea, Article 10 of the Virtual Asset User Protection Act regulates unfair trading, including the use of material nonpublic Information, manipulation of market prices, unfair trading, prohibition of trading in self-issued virtual assets, and blocking of deposits and withdrawals. In the case of using material nonpublic Information, market manipulation, and unfair trade practices, the regulations are basically very similar to the regulations prohibiting unfair trading under the Capital Market Act. However, considering the difficulty in identifying the scope of issuers in the virtual asset market, the difficulty in determining the scope of inside information, and the difficulty in determining the scope of important matters in unfair trading there are aspects that are expected to be difficult to apply the law. Therefore, in the case of future phase 2 legislation, in addition to the current regulatory system of the Virtual Asset User Protection Act, it is necessary to confirm the scope of the market related to unfair trade practices, clarify the scope of important information in the act of using material nonpublic Information, add a definition of 'market price' in the act of price manipulation, and clarify 'important matters' in unfair trading. It is also necessary to introduce an issuance regulation system that can work in conjunction with the unfair trading regulation system. In addition, since it is impossible to separate the domestic market from the overseas market in the case of the virtual asset market, there is a clear need to regulate trading on decentralized exchanges and overseas markets. However, in order to do so, it will be necessary to accurately identify the impact of unfair trading in overseas markets on the domestic market and to establish a monitoring system for unfair traiding in overseas markets.
