본고에서는 근래 비로소 금융규제의 영역에 편입된 조각투자의 바람직한 규제체계 정립을 위해서는 해외사례에 대한 충분한 검토가 필요함을 전제로, 해외에서 가장 일반화된 조각투자인 경주마 조각투자에 대한 미국의 마이크로쉐어(microshare) 방식, 일본의 한구좌마주(一口馬主) 방식, 그리고 호주의 신디케이트(syndicate) 방식 및 이에 대한 해당 국가의 금융규제 사례를 분석하였다. 이후 2022년의 이른바 조각투자 가이드라인 발표를 기준으로 그 이전 시점에서는 사실상 조각투자가 금융규제의 공백지대였으나, 그 이후 시점에는 이것이 기본적으로 자본시장법상 투자계약증권 개념에 기초하여 규제되고 있다는 내용을 중심으로 조각투자에 대한 국내 금융규제에 대한 현재까지의 흐름과 앞으로의 전망을 살펴보았다.
이런 검토를 기반으로, 본고에서는 금융감독당국이 자본시장법 시행령을 근거로 일정한 조각투자 사업은 자본시장법상 집합투자에 해당하지 아니함을 명시하는 것이 바람직하고, 중장기적으로 일정 규모 이상으로 조각투자 사업을 영위하는 업체들에 대해서는 자본시장법상 일정한 업자규제를 적용함이 필요함을 밝혔다.
In this paper, in order to establish a desirable regulatory framework for fractional investments, which has only recently been included in the domain of financial regulations, it is assumed that a sufficient review of overseas cases is necessary. The study analyzes the ‘microshare’ method of fractional investment in racehorses in the United States, the ‘hitokuchi umanushi(一口馬主)’ method in Japan, and the ‘syndicate’ method in Australia, which are the most generalized forms of fragmented investment overseas, along with the corresponding financial regulatory cases in each country.
Subsequently, based on the release of the so-called fractional investment guidelines in 2022, it is highlighted that prior to this point, fractional investment was practically a regulatory blind spot in financial regulations. However, from that point onward, it is fundamentally regulated based on the concept of investment contract securities in the Financial Investment Services and Capital Markets Act(‘FISCMA’). The paper examines the current trends and future prospects of domestic financial regulations on fractional investment, focusing on the fact that it is now regulated based on the FISCMA since 2022.
Based on this review, the paper suggests that it is desirable for financial supervisory authorities to explicitly state, based on the Enforcement Decree of the FISCMA, that certain fractional investment activities do not fall under the category of collective investment under the FISCMA. Moreover, it emphasizes the need to apply certain financial business entitiy regulations under the FISCMA to companies engaging in fractional investment activities on a certain scale.
