국가연구개발협약은 국가와 사인의 계약으로 일반적인 계약법 원리가 적용되지만 양당사자가 대립적인 구도가 아닌 서로 협력해 국가연구개발사업을 수행해야 하는 특수한 관계를 기초로 한다. 특히, 연구개발의 특성상 일의 완성이 아닌 수행 과정 자체가 보다 큰 의미를 가지기 때문에 상호신뢰를 기초로 한 협력적(co-operation) 관계가 강조된다. 국가연구개발협약의 이행과정에서 발생하는 예상치 못한 위험요소들을 상호협력하여 해결하는 것이 중요하다. 따라서 국가연구개발협약은 ‘관계적 계약이론(relational contract)’에 기초해 접근하는 것이 그 특수한 성격을 규명하는데 보다 유용하다고 할 수 있다.
당사자의 의사를 중시하던 의사이론은 현대에 와서 이를 그대로 적용하는 계약 유형을 찾아보기 힘들어졌다. 현대 계약의 특성은 당사자의 의사도 존중되지만 그 구조와 내용이 사회적 맥락에서 결정되며 당사자의 의사보다 당사자들의 관계에서 나오는 계속적 계약의 내용이 중요하게 되었다. 관계적 계약이론은 계약의 무게 중심을 상대방과의 사회적 관계로 이전하여 현대 계약의 특성을 보다 잘 설명하고 있다. 사회적 관계는 법률이나 거래관행, 상대방의 기대와 평판 등에서 규정되는데 특히 특수한 유형의 계약의 경우 관련 법령이 중요한 역할을 하게 된다.
특히 국가연구개발사업은 다양한 이해관계자의 상호협력을 기반으로 수행되며 명확한 결과를 사전에 계약을 통해 확정하기 보단 수행과정에 보다 집중하는 특성이 있다. 계약을 체결하기 전 계약의 내용과 예상결과를 상정하여 계약을 체결하지만 연구과제를 수행하는 과정에서 다양한 변수와 상황이 발생하고 그러한 수행과정 자체가 연구의 존재이유이기도 하다. 연구는 본질적으로 과정지향적 성격을 가지며 결과는 그에 따른 부수적 부산물일 뿐이다. 혁신적이며 도전적인 연구일수록 결과를 확신할 수 없으며 실패가 예정되어 있다. 따라서 연구계약은 그 자체로 불완전한 계약이자 결과채무가 아닌 수단채무의 성격을 지닐 수밖에 없는 것이다.
The National Research and Development Agreement is a contract between the state and private parties, and although general contract law principles apply, it is based on a special relationship in which the two parties must cooperate with each other to carry out national research and development projects rather than in a confrontational structure. In particular, due to the nature of research and development, the performance process itself, rather than the completion of the work, has greater meaning, so a cooperative relationship based on mutual trust is emphasized. It is important to cooperate and resolve unexpected risk factors that arise during the implementation of the National Research and Development Agreement. It is desirable to approach national research and development agreements with such special characteristics based on the so-called ‘relational contract theory’.
In particular, national research and development projects are carried out based on mutual cooperation between various stakeholders and have the characteristic of focusing more on the implementation process rather than confirming clear results through contracts in advance. Before signing a contract, the contents of the contract and expected results are assumed before signing the contract, but various variables and situations arise in the process of carrying out the research project, and the performance process itself is meaningful in research. Research is inherently process-oriented, and results are merely a by-product. The more innovative and challenging the research is, the less certain the results are and the more likely it is to fail. Therefore, the research contract is an incomplete contract in itself and inevitably has the characteristics of an instrumental debt rather than a consequential debt.
