기술 발전으로 대규모의 개인정보처리가 가능해지면서 다양한 방법으로 개인정보를 활용하여 사업을 하는 기업들이 증가하고 있다. 기업 간의 영업양수도 및 분할·합병 등의 구조 개편에 따라 개인정보의 이전이 빈번하게 발생하고 있다. 이들 기업들의 구조 개편에 따라 수반되는 개인정보 이슈들의 현황을 살펴보고 현행 제도를 검토하였다.
이와 관련하여 영업의 전부 또는 일부의 양도·합병 등에 따른 개인정보 이전에 대하여 규정하고 있는 현행 「개인정보 보호법」 제27조 규정을 점검하여 문제점을 짚어보고 실질적으로 정보주체를 보호하기 위한 개선방안을 찾아보았다. 「개인정보 보호법」 제27조는 개인정보가 영업재산으로서 유기적 일체로 이전될 수 있게 하기 위한 편의성을 보장하는 한편, 영업양도 등의 경우에도 정보주체의 권익보호를 조율하고자 정보주체의 개인정보 이전을 원하지 아니할 경우 거부권을 행사할 수 있도록 하였다.
그러나 이러한 거부권 행사가 영업양도 등의 취지에 부합하고 실제로 정보주체 보호를 위한 실효적 조치인지는 의문이다. 이에 대한 개선방안으로 온라인 맞춤형 광고 등 새로운 기술발전에 따라 기업의 영업활동이 다양화되는 환경변화를 반영하여 정보주체에게 모든 결정권을 맡기는 방법이 아니라, 기업구조개편에 대한 사전 점검을 통하여 정보주체의 권익을 실질적으로 보호할 수 있는 방안을 찾고자 하였다. 「개인정보 보호법」 내에 새로운 사전승인 규제를 도입하는 방법, 「독점규제 및 공정거래에 관한 법률」에 마련된 기업결합심사제도를 이용하는 방법 그리고 현행 「개인정보 보호법」 내의 개인정보영향평가제도를 확대하여 활용하는 방안들을 검토해 보았다.
As technological advances have made it possible to process personal information on a large scale, more and more companies are utilizing personal information in various ways to conduct business. The transfer of personal information has become a frequent occurrence due to structural reorganizations such as business transfers and divisions and mergers between companies. We examined the current status of personal information issues related to the restructuring of these companies and reviewed the current system.
In this regard, we examined the current Article 27 of the Personal Information Protection Act, which regulates the transfer of personal information in connection with the transfer of all or part of a business, mergers, and acquisitions, to identify problems and find ways to improve the protection of data subjects in practice. Article 27 of the Personal Information Protection Act provides for the exercise of the right of veto if the data subject does not wish to transfer personal information in order to facilitate the organic transfer of personal information as business property and to coordinate the protection of the rights and interests of the data subject even in the case of a business transfer.
However, it is questionable whether this right of veto is in line with the purpose of business transfers and is actually an effective measure to protect data subjects. As a way to improve this, instead of leaving all decision-making power to the data subject, we sought to find a way to protect the rights and interests of the data subject through a prior inspection of the corporate structure reorganization reflecting the environmental changes in which the business activities of companies are diversified due to the development of new technologies such as online personalized advertising. We examined ways to introduce new pre-approval regulations within the Personal Information Protection Act, ways to use the combination of enterprises review system established in the Monopoly Regulation and Fair Trade Act, and ways to expand and utilize the personal information impact assessment system within the current Personal Information Protection Act.
