시장조성자 제도는 특정 종목의 호가 스프레드(spread)가 일정 범위 내로 유지되도록 매도・매수 양방향으로 호가를 지속적으로 제출함으로써 시장에 유동성을 공급하는 제도이다. 시장에 지속적인 유동성을 공급하여 호가 스프레드를 축소시킴으로써 거래 참여자들의 거래비용을 절감시키고 가격 변동성을 약화시키며 거래 활성화에도 기여한다. 시장조성자의 신뢰도와 활동성은 시장조성자의 신인도(credit worthiness)에 달려 있음은 물론이다.
현행 자본시장법은 시장조성행위를 시세조종의 예외로 규정하고, 금지대상인 시세조종의 범주에서 제외시키고 있다. 이미 시행 중인 특정금융정보법과, 2024. 7. 19. 시행이 예정된 가상자산이용자보호법 모두 시장조성행위가 가상자산시장에서 허용되는 행위인지에 관해 규정하고 있지 않다. 자본시장법과 마찬가지로 시세조종의 예외로서 시장조성을 두도록 가상자산이용자보호법을 개정하거나, 향후 입법이 예정된 업권법(디지털자산기본법)에서 시장조성자의 정의와 허용범위 등에 관해서 규정을 둘 수도 있을 것이다. 하지만 그보다 앞서 그러한 입법이 필요한 것인지에 대한 판단, 다시 말해 가상자산시장에서 시장조성자가 과연 필요한 것인지에 관하여는 좀 더 면밀한 검토가 필요할 것으로 보인다.
가상자산시장에서도 시장조성자가 필요한지 여부에 관하여, 이 연구는 가상자산 산업에서 영향력이 큰 미국과 가상자산에 관한 포괄적 규제 법률(MiCA)을 이미 마련한 EU의 입법례를 살펴보았다. 아직 입법이 완료되지 않았으나, 가상자산에 관한 포괄적인 규제 틀이라고 평가받은 책임있는 금융혁신법안(RFIA)에 따르면 미국은 거래소의 시장조성행위를 일정한 기준하에 인정하고 있다. EU도 MiCA에서 시장조성자의 존재는 인정하고 있으나 거래소의 시장조성은 허용하지 않는 것으로 보인다. 또 시장조작에 대해 광범위하게 규정함으로써 시장조성행위도 시장조작에 포함될 수 있는 가능성을 높이고 있는 반면, 정당한 사유를 위해 수행되는 경우를 시장조작에서 배제하고 있으므로 시장조성행위 역시 시장조작에서 제외될 여지가 있다.
그렇다면 우리나라도 가상자산 시장조성자를 허용해야 할 것인가의 문제가 남는다. 이것은 결국 가상자산을 하나의 산업으로 볼지, 투기의 대상으로 볼지 시각의 차이라고 볼 수 있다. 현재 우리나라의 규제당국은 가상자산에 대한 시장조성행위는 시세조종에 해당할 수 있으므로 허용되지 않는다는 입장이다. 가상자산 영역에서도 자본시장법과 마찬가지로 시장조성자를 시세조종의 예외로 인정하자는 견해들도 있으나, 가상자산은 교환가치만이 있을 뿐 가상자산이 시세조종 세력의 투기 대상이 되고 있는 현실과 신인도를 갖춘 플레이어도 없다는 점을 고려하면 가상자산시장에서의 시장조성자 제도 도입은 무리라고 생각한다. 향후 가상자산시장이 안정성을 확보하고 가상자산이 투기의 대상이라는 의심을 벗게 되면 유동성 공급 측면에서 시장조성자의 도입을 검토해도 늦지 않을 것으로 본다.
The market maker is a system that provides liquidity to the market by continuously submitting quotes in both the buy and sell directions to keep the bid-ask spread of a specific stock within a certain range. By providing continuous liquidity to the market and narrowing the bid-ask spread, it reduces transaction costs for trading participants, dampens price volatility, and contributes to trading activity. Of course, the reliability and activity of market makers also depends on the credit worthiness of market makers.
The current Financial Investment Services and Capital Markets Act(FSCMA) recognizes market making as an exception to market price manipulation and excludes it from the category of prohibited market price manipulation. Neither the Enforcement Decree Of The Act On Reporting And Use Of Certain Financial Transaction Information, which is already in effect, nor the Act On The Protection Of Virtual Asset Users, which is scheduled to be enacted on July 19, 2024, stipulates whether market-making activities are permissible in the virtual asset market. It may be possible to amend the Virtual Asset User Protection Act to exclude market making as an exception to market price manipulation, similar to the FSCMA, or to stipulate the definition and scope of market makers in the upcoming Digital Asset Basic Act. However, before such legislation is necessary, a closer examination is needed to determine whether market makers are necessary in the virtual asset market.
To address the question of whether market makers are needed in virtual asset markets, the study analyzes legislative precedents in the United States, which has a strong presence in the industry, and the European Union, which already has a comprehensive regulatory framework for cryptocurrencies (MiCA). Under the Responsible Financial Innovation Act (RFIA), which has been described as a comprehensive regulatory framework for crypto, the U.S. recognizes exchanges as market makers under certain criteria. The EU also recognizes the existence of market makers in MiCA, but does not appear to allow market making on exchanges. The broad definition of market manipulation raises the possibility that market makers could be included in the definition of market manipulation, but it also excludes market manipulation if it is carried out for a legitimate reason, so market makers could be excluded.
This leaves the question of whether Korea should also allow virtual asset market makers. It comes down to a matter of perspective, whether you view virtual asset as an industry or as a speculative market. Currently, regulators in Korea do not allow market-making activities for virtual asset as it may market price manipulation. There are views that market makers should be recognized as an exception to market price manipulation in the same way as in the FSCMA, but considering the reality that virtual assets are subject to speculation by market manipulators and that there are no new players in the virtual asset market, it is unreasonable to introduce a market maker system in the virtual asset market. In the future, when the virtual asset market becomes stable and the suspicion that virtual asset are subject to speculation is removed, it will not be too late to consider the introduction of market makers in terms of liquidity supply.
