상가 임대차계약에서 임대인은 임차인에 대하여 정당한 사유 없이 임차인이 주선한 신규임차인이 되려는 자와 임대차계약의 체결을 거절하는 행위를 함으로써 임차인이 그로부터 권리금을 회수하는 것을 방해하지 않을 의무를 부담한다. 임대인이 이를 위반하여 임차인에게 손해를 발생하게 한 때에는 그 손해를 배상할 책임이 있다. 다만 상가임대차법 제10조의4 제2항 제3호가 규정하는 “임대차 목적물인 상가건물을 1년 6개월 이상 영리목적으로 사용하지 아니한 경우”(이하 ‘대상규정’이라 한다)에는 위 정당한 사유가 있는 것으로 간주된다.
대상규정은 “사용하지 아니한 경우”의 주체를 규정하지 않아 그 주체가 임대인인지(임대인설) 임차인인지(임차인설)를 중점으로 대상규정의 해석이 문제 되었다. 대상규정에 대한 해석은 임차인설과 임대인설 안에서도 갈라져 모두 13가지로 상정될 수 있고, 실제로 대법원판결이 선고되기 전 하급심판결의 해석은 다양했다. 대법원은 2021. 11. 25. 대상규정의 해석과 이에 대한 근거를 설시하는 2019다285257 판결을 선고하였는데, 대상규정의 주체를 임대인으로 해석하였고, 구체적으로 대상규정이 인정되려면, ① 임대인이 임대차 종료 시 해당 상가를 1년 6개월 이상 영리목적으로 사용하지 아니한다는 사유를 들어 임차인이 주선한 자와 신규 임대차계약 체결을 거절하고, ② 실제로도 1년 6개월 동안 해당 상가를 영리목적으로 사용하지 않아야 한다고 해석하였다.
임대인설과 임차인설은 모두 문제가 많다. 임대인설은 ① 대상규정의 과거형 문언에 반하는 점(일부), ② 정당한 사유가 확정되어야 하는 기준 시점에 반하는 점(일부), ③ 임차인의 이익을 침해하고 사회·경제적 낭비를 초래하는 점, ④ 임대차 계약 체결 당시 쌍방의 교섭을 왜곡하고 대상규정이 사문화되는 점 등의 문제가 있다. 임차인설도 ① 입법자의 현실적인 의사에 반하는 점, ② 대상규정의 효용이 떨어지는 점, ③ 대상규정의 취지를 설명하기 어렵고, ④ 계약갱신과 관련하여 법률관계의 일관성이 떨어지는 점 등의 문제가 있다.
이와 같이 어느 한 쪽으로도 해석하지 못하는 것은 근본적으로 대상규정이 잘못된 입법이기 때문이다. 따라서 대법원은 대상규정에 기초하여 해석론을 전개하기보다는 대상규정에 대하여 위헌법률심판 제청을 통하여 이를 입법자 스스로 교정하도록 하거나 적어도 입법 개선을 촉구하였어야 했다고 생각된다.
In the lease of commercial buildings, the lessor has an obligation not to obstruct the lessee from receiving a premium from a person arranged by the lessee to become a new lessee by refusing to conclude a lease contract with that person without good cause. If a lessor violates the obligation, thereby incurring any loss to a lessee, he or she shall be liable to compensate for such loss, unless in a case “where the subject-matter of the lease is a commercial building and has not been used for commercial purposes for at least 18 months,” as stipulated in Article 10-4(2) Item 3 of the Commercial Building Lease Protection Act (hereinafter “subject provision”), whereby a good cause is deemed to exist.
Since the subject provision did not specify the subject of “non-use,” whether the subject was the lessor (hereinafter “lessor as subject view”) or the lessee (hereinafter “lessee as subject view”) was disputed. The interpretations of the subject provision can be divided into many more ways, totaling 13 interpretations. In fact, before the judgment of the Supreme Court of Korea was pronounced, the judgments of the first instance and appellate courts of Korea were quite divided. The Supreme Court of Korea pronounced Decision 2019Da285257 on November 25, 2021, which explains the interpretation of the subject provision and the basis for it. The Supreme Court of Korea interpreted the subject to be the lessor and specifically stated that, in order for the subject provision to be recognized, ① the lessor must refuse to conclude a new lease agreement with the person arranged by the lessee on the grounds that the commercial building will not be used for profit for more than 1 year and 6 months at the time of the end of the lease period, and ② the lessor must not actually use the commercial building for commercial purposes for one year and six months.
There are many problems with both views. The lessor as subject view ① partially contradicts the past tense language of the subject provision, ② partially disagrees with the base period at which justifiable reasons must be established, ③ infringes on the interests of the lessee and causes social and economic wastage, and ④ distorts negotiation between the parties involved in a lease agreement and practically obliterates the subject provision. The lessee as subject view is likewise defective in following ways: ① it is at odds with the realistic intention of the legislator; ② it reduces the usefulness of the subject provision; ③ it does not provide a reasonable explanation about the purpose of the subject provision; and ④ it undermines the consistency of legal relationships with regard to contract renewal.
The reason that the subject provision cannot be interpreted in both ways is because the subject provision is fundamentally erroneous legislation. For this reason, this article argues that the Supreme Court should have made the legislators directly rectify the subject provision by filing a petition for adjudication on the constitutionality of statutes or at least should have urged legislative improvement.
