창립 초기의 회사는 자금을 조달함에 따라 투자자의 영향력이 증가하는 과정에서 회사의 지배구조를 수정하도록 압력을 받게 되고, 투자자는 중요한 경영사항에 관하여 투자자의 사전동의를 받도록 하는 사전동의권 약정을 통하여 자신의 이익에 반하는 지배주주의 경영판단을 제한하고자 한다. 대상판결은 이러한 사전동의권 약정이 주주평등원칙에 반하는지 여부를 주로 다루고 있다. 최근 주주평등원칙의 경직적 적용으로 인하여 당사자 간에 합의된 약정의 효력을 부인하는 것이 거래의 안전을 해하고 회사법의 발전을 저해한다는 취지의 연구가 다수 이루어졌던바, 대상판결은 주주 간에 차별이 있는지 여부를 주로 심리하던 기존의 분쟁 사안에서 주주 간의 차별에 합리적인 이유가 있는지 여부를 추가적으로 심리할 여지를 부여함으로써, 주주평등원칙을 실질적 평등의 개념으로 전환하여야 한다는 견해를 수용하였다는 데에 주된 의의가 있다.
한편 대상판결은 사전동의권 약정을 통한 주주 간 차등적 취급이 회사와 주주 전체에 이익이 되어 이를 정당화할 특별한 사정이 있다고 판시하면서, 그 논증 과정에서 회사의 유동성 확보와 자본증가 등에 기여할 수 있는 신주인수대금을 언급하고 있다. 그러나 이는 회계적·재무적 이익에 한정된 것으로서 사전동의권 약정으로 투자자가 받는 이익이나 다른 주주가 입는 상대적 불이익이 모두 무형적·구조적인 지배권에 관한 것이라는 점과 균형이 맞지 않다. 따라서 대상판결이 설시한 실질적 평등의 내용을 확정하기 위해서는 회사 및 주주 전체에 주어지는 무형적·구조적 이익이 무엇인지를 탐구하여야 한다.
이 글에서는, 대상판결이 사전동의권 약정을 지배주주나 경영진에 대한 견제수단으로 이해하고 있으며, 사적 계약을 통해 지배권을 분배함으로써 의사결정주체가 다원화되어가는 과정 그 자체를 개선된 지배구조이자 회사 및 주주 전체가 받는 무형적·구조적 이익이라는 판단을 함의하고 있다고 보았다. 특히 대상판결의 피고 회사가 코넥스 상장회사라는 점을 고려한다면, 대상판결은 이와 같은 공개회사에 대하여까지 사적 계약을 통한 지배구조 개편에 관한 논의의 지평을 확장하였다는 점에서 더욱 의의가 크다.
다만 사적 계약으로 회사의 지배구조를 수정하는 것의 정당성에 관하여 주주평등원칙 위반 가능성 외에도 외부에 공시되지 아니하는 문제, 이행가능성의 한계를 들어 의문을 제기하는 견해가 제기되는바, 이와 같은 한계를 극복하기 위하여 사전동의권 약정을 체결하는 당사자들로서는 주주 간 계약의 내용을 정관에 반영하는 등의 방법으로 공시하는 방향을 고려하여야 할 것이고, 법해석론적으로도 정관에 기재된 주주 간 계약의 실효성을 존중하는 것이 바람직하다.
As early-stage companies raise capital, they face increasing pressure from investors to restructure corporate governance, and investors seek to limit controlling shareholders’ management decisions against their interests through protective provisions that require investors’ approval for designated major management decisions. The subject case centers on whether such protective provisions on consent rights violate the principle of shareholder equality. In recent years, there have been a number of studies seen to the effect that the rigid application of the principle of shareholder equality denies the effectiveness of agreements agreed between the parties, harms the safety of transactions, and hinders the development of corporate law. The subject case is significant in that it accepted the view that the principle of shareholder equality should be transformed into a concept of substantive equality rather than formal equality, by giving room for further examination of whether there is any reasonable reason for the discrimination between shareholders, from the existing case in question, examining whether there is discrimination between shareholders.
On the other hand, the subject case concluded that there are special circumstances to justify discrimination between shareholders through the protective provisions on consent rights as such discrimination benefits the company and the shareholders as a whole, and in the course of its argument, it refers to the subscription price that may contribute to the company’s liquidity. However, this is limited to accounting and financial benefits and thus is not balanced by the fact that the benefits to investors and the relative disadvantages to other shareholders caused by protective provisions on consent rights are about intangible and structural control rights. Therefore, in order to determine the substantive equality of the subject case, the intangible and structural benefits to be given to the company and shareholders as a whole should be explored.
In this article, the author argues that the subject case implies that the protective provisions on consent rights are understood as a check on controlling shareholders and management, and that the process of diversifying the decision-making body by distributing control through private contracts per se is an improvement in governance and an intangible and structural benefit to the company and shareholders as a whole. Given that the defendant company in the ruling is listed on KONEX market, the subject case has a further significance in that the subject case extended the discussion of governance restructure via private contracts even to such public companies.
However, with respect to the legitimacy of restructuring the corporate governance via private contracts, there are views that raise questions on the grounds of possible violations of the principle of shareholder equality, the lack of public disclosure, and the limitation of enforceability. In order to overcome these limitations, the parties entering into a shareholders’ agreement including protective provisions on consent rights should consider disclosing the contents of the agreement in the articles of incorporation and respect the effectiveness of the agreement stated in the articles of incorporation from a legal interpretation perspective.
