공동연구개발 주체들이 공동연구개발에 따라 산출된 성과물을 영업비밀로 관리하기로 하며 그 법률관계에 대한 구체적인 합의에까지 이르렀다면 영업비밀 공동보유자 간의 법률관계는 이러한 합의에 따라 규율될 것이다. 그러나 공동연구개발 주체들 간 의사가 불명확한 경우 부정경쟁방지 및 영업비밀보호에 관한 법률(이하 ‘부정경쟁방지법’이라 한다)은 공동보유 관련 규정을 두고 있지 않고, 이에 대한 확립된 판례 역시 찾아보기 어려워 당사자 간 분쟁이 발생할 경우 이를 해결하는 것이 쉽지 않았다. 다행히 최근 하급심판결에서 영업비밀 공동보유자 사이의 법률관계에 대한 판시를 내놓으며, 이에 대한 학계의 논의도 시작되고 있는 것으로 보인다.
이에 본 논문에서는 영업비밀 공동보유관계에 대하여 판시한 관련 판결 등을 소개하며, 관련 판결 등에서 나타난 영업비밀 공동보유관계의 성립 요건, 영업비밀 공동보유관계에 대한 법적 규율 및 법적 성격, 영업비밀 공동보유자의 자기사용 권한 및 범위에 대한 판시 사항을 분석, 검토하였다.
관련 판결 등은 영업비밀의 공동보유관계 성립과 관련하여 공동연구를 통해 산출 된 영업비밀은 그 귀속에 관하여 별도의 약정이 없는 한 생산, 개발에 ‘실질적으로 기여한’ 연구개발 주체들에 공동으로 귀속된다고 보았고, 영업비밀 공동보유자들 사이의 법률관계는 민법상 공동소유 규정을 유추적용하여 규율하며, 그 법적 성격은 민법상 (준)공유에 해당한다고 보았다. 영업비밀 공동보유자의 자기사용 권한에 대하여 관련 판결 등은 다른 공동보유자의 동의가 필요하다는 ‘동의필요설’, 동의를 필요로 하지 않는다는 ‘동의불요설’, 공동보유 영업비밀의 영업비밀성을 상실시키지 않는 범위에서 다른 공동보유자의 동의가 필요하지 않다는 ‘절충설’ 등의 입장을 취하였고, 자기사용 범위에 대해서는 공동보유자 중 1인이 제한 없이 영업비밀을 사용할 수 있다는 ‘무제한설’, 영업비밀성을 상실시키지 않는 범위에서 영업비밀을 사용할 수 있다는 ‘절충설’, 공동보유자 중 1인의 사용이라도 그 사용범위가 한정적인 범위에서만 허용된다는 ‘제한설’의 입장을 취했다.
본 논문에서는 공동보유관계 성립 요건과 관련하여 쟁점 영업비밀이 대부분 기술정보임을 감안하면 공동보유자 중 1인의 ‘실질적 기여’ 여부를 공동보유자의 기준으로 삼는 것이 타당하며, 그 법적 규율은 민법 제278조에 의하여 민법상 공동소유 규정을 준용하여야 하고, 이때 공동보유자들은 민법상 공유와 유사한 관계에 있다고 보았다.
또한 영업비밀 공동보유자는 다른 공동보유자의 동의 없이도 공동보유 중인 영업비밀의 영업비밀성을 상실시키지 않는 범위에서 그 전부를 자유로이 사용할 수 있다고 보며 그 근거로, ① 부정경쟁방지법 입법 목적에 맞는 균형적인 해석이 필요한 점, ② 다른 지식재산권과 같은 영업비밀의 무체재산권적 특징을 고려하면 자유사용이 허용되어야 하는 점, ③ 영업비밀 공동보유자의 자기사용 범위를 엄격히 제약할 경우 오히려 부당한 경쟁 제한을 초래할 우려가 큰 점, ④ 영업비밀 자기사용에 대한 지나친 제약은 특허법상 공동발명에 대한 보호와 균형이 맞지 않은 점, ⑤ 관련 판결 등의 법리 해석에 의하더라도 다른 공동보유자의 이익을 충분히 보호할 수 있는 점, ⑥ 자기사용의 엄격한 제한은 영업비밀 공동보유자 간 약정으로도 가능한 점 등을 들었다.
If the result of joint research and development is a trade secret, the legal relationship between the parties is governed by the agreement between the co-owners of the trade secret. However, where there is no agreement between the co-owners of the trade secret and the intention of the parties is unclear, as the Unfair Competition Prevention and Trade Secret Protection Act provides no separate provision regarding co-ownership, and there is no established precedent thereon, in case of a dispute between the parties, resolving such dispute is not easy.
On the other hand, with the increasing trend of joint research and development, the defendants in civil and criminal disputes related to trade secret infringement have increasingly claimed that they have the right to use the trade secrets as co-owners of the trade secrets in question, and as a result, both practitioners and scholars have shown great interest in the co-owners relationship of trade secrets, which has remained as an unknown area.
This paper analyzes the judicial decisions on the co-ownership of trade secrets and examines the main issues, i.e., the requirements for establishing the co-ownership of trade secrets, the trend of judicial decisions on the rights and limitations of co-owners’ self-use of trade secrets, and the validity of related theories.
With respect to the establishment of co-ownership of trade secrets, the relevant judicial cases have held that trade secrets produced and developed through joint research should be jointly owned by the research and development entities that “substantially contributed” to the production and development, unless there is a separate agreement on attribution, and the substantial contribution is based on whether there is a technical contribution.
As for the nature of the legal relationship between the co-owners of trade secrets, the case law considers it to be a (quasi-) joint ownership under civil law.
As for the right of self-use of the co-owners of trade secrets and its limitations, the relevant cases have generally held that, in principle, one of the co-owners may freely use the trade secrets without the consent of other co-owners, provided that such use does not result in the loss of trade secret characteristics.
In this paper, I have taken the position that I agree with the judgment in the relevant case for the following reasons: the trade secrets at issue in the relevant case are technical information, and thus determining whether they are jointly researched and developed by co-inventors based on “substantial contribution” is possible, which is the standard for determining co-inventors in patented inventions of a similar nature; and considering the personal relationship between the co-owners of trade secrets as a (quasi-) joint relationship is reasonable, considering that it is difficult to consider the relationship between them as a combination or similar trust and personal bond. Moreover, a co-owner of a trade secret may use the trade secret without the consent and approval of other co-owners, and considering that trade secrets are intangible property rights like other intellectual property rights and the legislative purpose of the Unfair Competition Prevention and Trade Secret Protection Act, a co-owner of a trade secret may freely use the trade secret to the extent that it does not lose its secrecy (non-disclosure and confidentiality).
